Form 12b-25, Part III Narrative

American Realty Investors, Inc. (“ARI”) is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2003, without unreasonable effort and expense due to the late receipt of information required from foreign subsidiaries, other consolidated subsidiaries and discontinued operations recently sold.

Form 12b-25, Part IV(3)—Other Information

For the three and six months ended June 30, 2002, ARI had net losses of $14.6 million and $23.6 million. For the three and six months ended June 30, 2003, ARI is estimated to have a net loss of approximately $6.3 million and net income of approximately $1.0 million due to increased gains on property sales compared to the period ended June 30, 2002.
