8.01 Other Events

On December 15, 2025, in accordance with the terms of the Series D Preferred Stock, the Board of Directors of American National Group Inc., a Delaware corporation, declared a cash dividend of $460.9375 per share of Series D Preferred Stock (equivalent to $0.4609375 per depositary share representing the Series D Preferred Stock). The dividend will be payable on January 15, 2026 to shareholders of Series D Preferred Stock of record as of December 31, 2025.
