On March 7, 2016, American Financial Group, Inc. (the “ Registrant ” ) issued a press release announcing that it has proposed to acquire all of the outstanding common shares of National Interstate Corporation that are not currently owned by Great American Insurance Company, a wholly-owned subsidiary of the Registrant, for $30.00 per share in cash.
