Notice of information on the material event regarding the acquisition of AB Amber Grid shares

Issuer AB Amber Grid, legal entity code 303090867, registered address:
Savanorių pr. 28, LT-03116 Vilnius, Lithuania (hereinafter - AB Amber Grid),
hereby informs that on 2 May 2014 on the webpage of the Competition Council of
the Republic of Lithuania it was announced that the Competition Council has
received two notices regarding the concentration, whereby:

(i) it is requested to permit UAB EPSO-G to acquire 38.91% of shares of AB
Amber Grid (and to increase the number of shares held by UAB EPSO-G in AB Amber
Grid to 56.61%) and to assume joint control with OAO Gazprom over AB Amber
Grid;

(ii) it is requested to permit to increase the number of shares held by UAB
EPSO-G in AB Amber Grid up to 100% and to acquire the sole control of AB Amber
Grid.
