Regarding the clearance of Competition Council for UAB EPSO-G to acquire shares of AB Amber Grid

Issuer AB Amber Grid informs that on 19 May 2014 the Competition Council of the
Republic of Lithuania (budget institution, code: 188668192, address: Jogailos
g. 14, Vilnius, Lithuania; hereinafter - Competition Council) passed
resolutions No. 15-80/2014 and 15‑81/2014 under which it allowed UAB EPSO-G
(code: 302826889, address: A. Juozapavičiaus g. 13, Vilnius, Lithuania) to
acquire 38.9% (together with shares already held - 56.6%) shares of AB Amber
Grid and, together with OAO Gazprom, gain joint control of AB Amber Grid, and
also to acquire up to 100% shares of AB Amber Grid and gain sole control of the
latter company. Competition Council has stated that the intended concentration
will not create or strengthen a dominant position or significantly impede
competition in the relevant markets.
