Regarding the intention to submit a takeover bid

Issuer - AB Amber Grid (hereinafter - the Issuer) hereby informs that on 21 May
2014 it received the notification from UAB EPSO-G (legal entity code:
302826889, registered address: Juozapavičiaus g. 13, LT-09311 Vilnius,
Lithuania, hereinafter - UAB EPSO-G) on the intention to submit a takeover bid
to buy up the remaining 77,390,557 (seventy seven million three hundred ninety
thousand five hundred fifty seven) ordinary registered non-certificated shares
of the Issuer with par value of LTL 1.

According to the information provided in the received notification, on 21 May
2014 UAB EPSO‑G acquired 69,416,233 (sixty nine million four hundred sixteen
thousand two hundred thirty three) ordinary registered non-certificated shares
of the Issuer with par value of LTL 1 and increased the amount of its shares of
the Issuer to the amount of 100,991,957 (one hundred million nine hundred
ninety one thousand nine hundred fifty seven) ordinary registered
non-certificated shares of the Issuer with par value of LTL 1, which grant
56.6% of the votes in the general shareholders meeting of the Issuer.

Whereas on 21 May 2014 UAB EPSO‑G crossed the limit of 1/3 of the votes at the
general shareholders meeting of the Issuer, UAB EPSO‑G intends to submit a
takeover bid regarding the remaining 77,390,557 ordinary registered
non-certificated shares of the Issuer with par value of LTL 1, which grant
43.4% of the votes in the general shareholders meeting of the Issuer.

For the shares of the Issuer which will be bought-up during the takeover bid
it is intended to settle in cash.
