Endriss Frankfurt am Main, Köln, 03. Januar 2001. Die Amadeus AG Personal- Dienstleister und Solution Provider hat 60% der Anteile an der Steuer- Fachschule Dr. H. W. Endriss GmbH & Co. KG übernommen. Der Kaufpreis für die Beteiligung beträgt DM 4,6 Millionen in bar und 111.731 nennwertlose Stückaktien. Der Wert der Aktien ermittelt sich aus dem Durchschnittsschlußkurs an der Frankfurter Wertpapierbörse (Parkett) im Zeitraum 11. – 15.12.2000 und beträgt 21,05 Euro pro Aktie. Somit beläuft sich der Gesamtkaufpreis auf DM 9,2 Millionen. Für die Aktien wurde eine Lock-up Periode von 12 Monaten vereinbart. Für das kommende Geschäftsjahr (01.04.2001 – 31.03.2002) wird für die Steuer-Fachschule ein Umsatz von DM 9 Millionen bei einer EBlT-Marge von rund 20 % prognostiziert. Prof. Dr. Endriss und sein Sohn Axel Endriss werden die Leitung der Steuer- Fachschule in enger Zusammenarbeit mit der Amadeus AG fortführen. Mit diesem Engagement festigt die Amadeus Gruppe ihr Alleinstellungsmerkmal im Markt für Personal-Dienstleistungen und vollzieht einen weiteren konsequenten Schritt innerhalb der Strategie “Personal-Dienstleister und Solution Provider mit voller Wertschöpfungskette”. W. Endriss Frankfurt/M, Cologne, 3rd of January 2001. The Amadeus AG Human Resource Services and Solution Provider acquired a 60% share of the Tax College Dr. H. W. Endriss GmbH & Co KG. The purchase price of the participation amounts DM million 4.6 in cash and 111,731 non-par-value bearer shares. The value of the shares is determined by the average closing price during 11th to 15th of December 2000 at the Frankfurt Stock Exchange which results in 21.05 EUR per share. Thus amounts in a total purchase price of DM million 9.2. The parties agreed on a lock- up period of 12 months for the shares. For the upcoming fiscal year (01/04/2001 -31/03/2002) revenues of the Tax College are projected with KDM 9,000. The EBIT margin will be approximately 20%. Prof. Dr. Endriss and his son Axel Endriss will continue to manage the Tax College in cooperation with the Amadeus AG.
