Acquisition of Micra Accident Repair Centre

The Directors of AMA Group Limited (“AMA” or the “Company”) are pleased to announce the acquisition of Micra Accident Repair Centre Pty. Ltd. (“Micra”); a Vehicle Panel Repair business servicing the North Tasmania market. Having completed its due diligence investigations, the Company confirms that the acquisition contract is now unconditional and completion is scheduled to occur on 4 January 2016.

Micra (previously Longford Bodyworks) began in 1980 from a backyard garage. In 2008, the business relocated to its current location, a state of the art facility specialising in large and small smash repairs, located near Launceston Airport, Tasmania. The business has built strong relationships with various insurance groups, including Suncorp with which it has a long term contract.

Over the past three decades the business has grown from just four employees to thirty seven. Micra’s co-owners, Michael Shelton and Craig Carey, have both been long time employees of the business and will join the AMA Group to provide further insight into this market.

AMA has agreed to acquire Micra for a purchase price that includes an initial consideration of $2.0 million (adjusted for any variations in working capital), including $500,000 of shares that will be subject to escrow. The purchase price will also include an “earn out” component which is capped at a maximum of four times the normalised EBIT. The acquisition will be funded using AMA’s existing financial reserves.

Commenting on the acquisition, AMA’s Executive Chairman, Ray Malone said “This acquisition is a strategic entry point into the Tasmanian Vehicle Panel Repair market and expanding our national footprint”.
