NOTICE OF CHANGE OF AUDITOR

And To: Raymond Chabot Grant Thornton LLP, Chartered Professional Accountants MNP LLP, Chartered Professional Accountants

Re: Notice of Change of Auditor pursuant to Section 4.11 of National Instrument 51‐102 – Continuous Disclosure Obligations (“NI 51‐102”)

Notice is hereby given pursuant to section 4.11 of NI 51-102 of a change of auditor of AM Resources Corp. (the “ Corporation ”).

1. Raymond Chabot Grant Thornton LLP (the “ Former Auditor ”), Chartered Professional Accountants, is the auditor of the Corporation, lastly appointed on April 12, 2019 at the annual meeting of shareholders of the Corporation.

2. The Audit Committee and the Board of directors of the Corporation have determined not to re-appoint Former Auditor at the expiry of its current term of mandate, and have recommended that MNP LLP (the “ Successor Auditor ”), Chartered Professional Accountants, be appointed to fill in the vacancy in the office of auditor at the annual general and special meeting of the shareholders held on February 13, 2023 (the “ Meeting ”) until the next annual meeting of shareholders of the Corporation.

3. The shareholders of the Corporation has approved the appointment of the Successor Auditor at the Meeting.

4. There were no reservations in the Former Auditor’s reports on the financial statements of the Corporation for: (a) the two most recently completed financial years; or (b) for any period subsequent hereto for which an audit report was issued and preceding as of January 4, 2022, the expiry date of the mandate of the Former Auditor.

5. In the opinion of the Audit Committee and the Board of Directors of the Corporation, there are no reportable events, as such term is defined in subparagraph 4.11(1) of NI 51-102.

6. The Notice and Letters of the Auditors have been reviewed by the Audit Committee and the Board of Directors.
