1. the Company has relied on Section 2.20 of National Instrument 54-101 - Communication with Beneficial Owners of Securities of a Reporting Issuer (“NI 54-101”) with respect to abridging the time prescribed in subsections 2.2(1) and 2.5(1), as applicable;

2. the Company has arranged to have proxy-related materials for the annual and special general meeting of shareholders of the Company to be held on April 24, 2026 (the “Meeting”) sent, in compliance with sections 2.9 and 2.12 of NI 54-101; and

3. the Company has arranged to have carried out, in connection with the Meeting, all of the requirements of NI 54-101 in addition to those described in paragraph 2 above.
