APPOINTMENT BY CO-OPTION OF MRS. MARYVONNE LABEILLE AS DIRECTOR

During its meeting held on January 29th 2021, the Board of Directors of ALTEN SA co-opted Mrs. Maryvonne LABEILLE as Director. Mrs. LABEILLE takes over from Mrs. Evelyne Feldman who passed away at the end of 2020. Mrs. LABEILLE is appointed for the remainder of the term that was to be held by Mrs. Feldman, i.e. until the 2024 Ordinary General Meeting.

The appointment of Mrs. Maryvonne LABEILLE is temporary and will be subject to approval by the shareholders of the Company during the next Ordinary General Meeting that will be held this year in May 28th.

The Board of Directors appointed Mrs. Maryvonne LABEILLE as Chair of the Remuneration and Nomination Committee, for which she will also take over from Mrs. Feldman.

Mrs. LABEILLE is Chair and Executive Officer of LABEILLE CONSEIL, a consulting firm she created in 1993. Mrs. LABEILLE works with French and international companies as Advisor in Human Resources and Talent Acquisition, more specifically in the recruitment and integration of their executive directors.

Mrs. LABEILLE holds several duties with SYNTEC: both Vice President of SYNTEC CONSEIL and Director of Fédération SYNTEC that associates consulting, engineering and digital activities. Mrs. LABEILLE is also elected member of CCI Paris and Director of ODIS, a centre for applied research and social intelligence.

In compliance with MiddleNext, the corporate governance code to which ALTEN refers, the Board of Directors assumes that Mrs. LABEILLE is an independent professional. The Board of Directors therefore consists of 50 %1 independent Directors and gender balance is respected.
