Re: Grant of Employee Incentive Plan Options

Energia Minerals Ltd (ASX:EMX) advises that as part of the Annual Remuneration review process, the Company has resolved to offer unlisted Incentive Options to certain Eligible Participants under the 2014 Employee Incentive Plan approved by shareholders at the Annual General Meeting held on 24 November 2014 as follows:

  1. A total of 2,250,000 options exercisable in 3 equal tranches, with an exercise price of 12 cents, 18 cents and 24 cents, vesting at date of Grant, after 12 months service and 24 months service respectively, and expiring 5 years from date of grant, will be offered to eligible employees.

  2. 2,250,000 options to be offered on the same terms and conditions as the employee options above to a contractor under Listing Rule 7.1.

  1. Subject to obtaining shareholder’s approval, a further 9,000,000 unlisted options are proposed to be granted to Kim Robinson, Managing Director, and 2,250,000 unlisted options are proposed to be offered to Max Cozijn, Executive Director, on the same terms and conditions as the employee options above.

The Directors believe it is in the interest of the Company to align the Executive and Employee’s interests with shareholders and that as the company progresses its strategy of becoming a significant zinc producer, it is important that the Company retains and remunerates its executives and employees appropriately.
