TAKEOVER BID BY CAULDRON ENERGY LTD FOR ENERGIA MINERALS LIMITED

NOTICE OF STATUS OF DEFEATING CONDITIONS

In reference to Cauldron Energy Limited’s (“Cauldron” or the “Company”) ( ASX: CXU ) offer under its off market takeover bid for all of the fully paid ordinary shares in Energia Minerals Limited (“Energia”) ( ASX: EMX ) (“Offer”), the Company encloses, by way of service pursuant to section 630(5)(b) of the Corporations Act 2001 (Cth), the notice of the status of defeating conditions to the Offer required by section 630(3) of the Corporations Act 2001 (Cth).

The Offer is scheduled to close at 5:00pm (WST/Perth time) on 1 May 2014.

OFF-MARKET TAKEOVER OFFER BY CAULDRON ENERGY LIMITED FOR ALL OF THE ORDINARY SHARES IN ENERGIA MINERALS LIMITED

Cauldron Energy Limited (ACN 102 912 783) ( Cauldron ) has made offers under an offmarket takeover bid for ordinary shares in Energia ( Offer ). The Offer is contained in Cauldron’s bidder’s statement dated 2 May 2013 ( Bidder’s Statement ) and notices of variation dated 26 July 2013, 6 November 2013 and 6 February 2014 respectively.

For the purposes of section 630(3) of the Corporations Act 2001 (Cth), Cauldron gives notice that:

• (a) as at the date of this notice, the Offer has not been freed from the conditions set out in Section 1.10 of Annexure A to the Bidder’s Statement;

• (b) so far as Cauldron knows, all of the conditions set out in Section 1.10 of Annexure A to the Bidder’s Statement have not been fulfilled; and

• (c) its voting power in Energia is 0.20%.
