END OF TAKEOVER BID AND SECURITY HOLDER INFORMATION

The offer period for the off market takeover bid by Cauldron Energy Limited (“Cauldron” or the “Company”) ( ASX: CXU ) for all of the fully paid ordinary shares in Energia Minerals Limited (“Energia”) ( ASX: EMX ) (“Offer”) closed at 5:00pm (WST/Perth time) on 1 May 2014.

The conditions to the Offer as set out in Section 1.10 of Annexure A to the Bidder’s Statement were not met at that time. Accordingly, the Offer has now lapsed.

All acceptances under the Offer which have been received by Cauldron became void at the end of the offer period, and those accepting Energia shareholders will retain their Energia shares.

In accordance with ASX Listing Rule 3.4.1, Cauldron provides the following information:

• A distribution schedule as set out in ASX Listing Rule 4.10.7 (refer Schedule 1); and

• The names of, and percentages held by, the 20 largest security holders of Cauldron as set out in ASX Listing Rule 4.10.9 9 (refer Schedule 2).
