Alstom Shareholders' Meeting approves all submitted resolutions

4 July 2017 – Alstom's ordinary and extraordinary Shareholders' Meeting, which took place on 4 July 2017 in Saint-Ouen, approved all the proposed resolutions including the distribution of a dividend of €0.25 per share. The dividend will be payable on 11 July 2017.

The Shareholders' Meeting was the opportunity to come back on Alstom's 2020 strategy, 2016/17 fiscal year highlights and financial performance, as well as latest innovations for smart mobility.

The shareholders approved the co-optations of Sylvie Kandé de Beaupuy and Yann Delabrière and the appointment of Françoise Colpron as Directors.

The Board of Directors of Alstom is now comprised of 14 Directors: Henri Poupart-Lafarge, Candace K. Beinecke, Olivier Bourges, Olivier Bouygues, Bi Yong Chungunco*, Françoise Colpron*, Yann Delabrière*, Pascal Faure, Gérard Hauser, Sylvie Kandé de Beaupuy*, Klaus Mangold*, Philippe Marien, Géraldine Picaud* and Sylvie Rucar*.

Furthermore, Yann Delabrière replaces Gérard Hauser as Lead Director and the 3 Board Committees are composed as follows:

  • Audit Committee: Géraldine Picaud* (Chairman of the Committee), Philippe Marien and Sylvie Rucar*
  • Nominations and Remuneration Committee: Yann Delabrière* (Chairman of the Committee), Candace K. Beinecke, Gérard Hauser, Klaus Mangold* and Sylvie Rucar*
  • Ethics, Compliance and Sustainability Committee: Sylvie Kandé de Beaupuy* (Chairman of the Committee), Bi Yong Chungunco* and Gérard Hauser

These appointments mark another step in the diversification of Alstom Board of Directors, which now includes 6 women (43%). The Board of Directors now also counts 50% independent Directors.

Françoise Colpron

Françoise Colpron is President of Valeo's North American region, responsible for the activities of the group in the United States, Mexico and Canada since 2008. She joined Valeo in 1998 in the legal department and has had several roles; first as Legal Director for the Climate Control branch in Paris, and most recently as General Counsel for North and South America from 2005 to 2015. Before joining Valeo, Françoise Colpron began her career as a lawyer at Ogilvy Renault in Montreal, Canada (now part of the Norton Rose Group). Françoise Colpron earned a Civil Law degree in 1992 from the University of Montreal, Canada. She was admitted to the Quebec bar in 1993 and to the Michigan bar in 2003. In 2015, Françoise Colpron was recognised by Automotive News as one of the "100 Leading Women in the North American Auto Industry" and, in 2016, by Crain's Detroit Business as one of the "100 Most Influential Women in Michigan," a list that includes leaders in business, academia, nonprofits and public policy. Françoise Colpron is knight of the Legion d'Honneur.
