Campbell Brothers divests Cleantec chemicals business

Campbell Brothers Limited (ASX code: CPB) has announced an agreement to divest its chemical and cleaning solutions business (“Cleantec”) to Ecolab Pty Ltd, a subsidiary of Ecolab Inc, a US-listed cleaning and sanitation products and services company (NYSE: ECL). The sale is subject to approval by the Australian Competition and Consumer Commission. Completion is expected to occur upon receipt of regulatory clearance.

Cleantec will become a core asset for Ecolab. Ecolab is a global leader in cleaning, sanitizing, food safety and infection prevention products and services. Cleantec will seek to benefit from the resources and skills which Ecolab can bring to it.

In announcing the transaction, Campbell Brothers Managing Director, Greg Kilmister, said the company had decided to sell the business following a strategic review of its business divisions.

“The sale of Cleantec will offer a broader range of opportunities for the business and its employees. Equally, the sale allows Campbell Brothers to use the proceeds to pursue other business prospects with higher returns on invested capital,” said Mr Kilmister.

“We have identified complementary opportunities for our other divisions. We will be in a better position to embrace these following the sale,” he said.

Cleantec is currently reported within Campbell Brothers’ Chemicals division. Campbell Brothers will retain the other Chemicals division business units, including Deltrex Chemicals and Panamex Pacific. The transaction will not impact Campbell Brothers’ existing first half 2011 profit guidance.

J.P. Morgan Australia Limited is acting as financial adviser and Minter Ellison is acting as legal adviser to Campbell Brothers.
