ALPHAWAVE IP GROUP PLC

NOMINAL VALUE REDUCTION

As approved by the IPO Committee of the Board on 12 May 2021 and the High Courts of Justice, Business and Property Court of England and Wales, Alphawave IP Group plc (the "Company") confirms that the nominal value of the Company's Ordinary Shares reduced from £1.00 to £0.01 on 17 November 2021

The Company's issued share capital is unchanged, and each shareholder's proportionate interest in the share capital of the Company will remain unchanged. Shareholders should continue to use the figure of 664,965,934 ordinary shares of £0.01 as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.  Aside from the change in nominal value, the rights attaching to the Ordinary Shares (including voting and dividend rights and rights on a return of capital) will remain unchanged.
