Exercise of Warrants and Total Voting Rights

Alpha Growth plc ("Alpha Growth", "the Company" or "the Group") (LSE:ALGW), the financial services specialist in the growing non-correlated Senior Life Settlement ("SLS") asset class, announces that it has received warrant exercise notices over an aggregate total of 9,166,650 ordinary shares of 0.1p each ("Ordinary Shares") in the Company for total consideration of £128,749.80.

Applications have been made for 11,526,650 Ordinary Shares, comprising those created through the exercise of warrants together with 2,360,000 Ordinary Shares issued to a former Director, to be admitted to the standard listing segment of the Official List of the Financial Conduct Authority and to be admitted to trading on the main market for listed securities of the London Stock Exchange plc (together, "Admission"). Admission is expected to become effective at 8.00 a.m. on 23 March 2020.

Total Voting Rights

On admission, the Company's issued share capital will consist of 201,635,006 ordinary shares of 0.1p each. There are no ordinary shares held in treasury. Accordingly, the total number of voting rights in Alpha Growth plc at Admission will be 201,635,006.

The above figure 201,635,006 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Alpha Growth plc under the FCA's Disclosure Guidance and Transparency Rules.
