Allgeier Computer AG is planning to outsource the business unit ‘ERP and DMS Solutions Germany’ to a 100 % subsidiary. By outsourcing this business unit, Allgeier Computer AG’s corporate strategy is going to be realized which, on the one hand, consists in further developing the previous core business – i. e. ERP and DMS Solutions in Germany – and, on the other hand, in opening up further business areas of strong growth by making investments in other companies. Operation of the business unit ‘ERP and DMS Solutions Germany’ is to be continued, as hitherto, in a subsidiary comprising the future company ‘Allgeier IT Solutions GmbH’, while Allgeier Computer AG will concentrate on the strategic and economic management of the company as well as on holding and administrating corporate investments. This outsourcing process is to create a group structure allowing both a clearly structured subdivision of the company and the required flexibility for the future presentation and growth of the entire company. Furthermore, an independent financing and clear separation of this area of business are to be made possible by transferring the business unit ‘ERP and DMS Solutions Germany’ to an independent subsidiary. Outsourcing is to be effected on the effective date, which is 10 June 2002, and is subject to agreement by the annual general shareholders’ meeting that is going to take place on 6 June 2002.
