Podstawa prawna

W nawiązaniu do raportu bieżącego nr 18/2023 z dnia 30 czerwca 2023 r., w którym Rada Dyrektorów Allegro.eu ("Spółka") poinformowała o zawarciu umowy o współpracy ("Umowa o Współpracy") pomiędzy Allegro Pay sp. z o.o. ("Allegro Pay"), Allegro sp. z o.o. ("Allegro"), Aion Bank SA/NV ("Aion") oraz Vodeno sp. z o.o. ("Vodeno"), Spółka niniejszym informuje, że Allegro Pay i Allegro postanowiły rozwiązać Umowę o Współpracy z zachowaniem 6-miesięcznego okresu wypowiedzenia, który upływa w dniu 31 lipca 2025 r.

Głównym przedmiotem Umowy o Współpracy było ustalenie zasad współpracy w zakresie niektórych produktów bankowych opartych na modelu Banking-as-a-Service, czyli usługi Allegro Cash. Jednakże, w związku z wynikami usługi Allegro Cash, Allegro i Allegro Pay postanowiły dokonać przeglądu strategicznych opcji dotyczących przyszłości usługi Allegro Cash i wypowiedzieć obowiązującą Umowę o Współpracy. Usługa Allegro Cash będzie obsługiwana w okresie wypowiedzenia. Allegro i Allegro Pay zdecydują do dnia rozwiązania umowy, czy usługa Allegro Cash będzie kontynuowana w zmienionej formie.

Spółka podkreśla, że rozwiązanie Umowy o Współpracy nie jest związane i nie wpływa na Umowę Sprzedaży Wierzytelności z dnia 11 października 2021 roku dotyczącą współpracy w zakresie zbywania wierzytelności.

Title: Termination of the Cooperation Agreement among Allegro Pay sp. z o.o., Allegro sp. z o.o., Aion Bank SA / NV and Vodeno sp. z o.o. regarding the services in the Banking-as-a-Service model

With reference to the current report No. 18/2023 of 30 June 2023, in which the Board of Directors of Allegro.eu (the "Company") informed about the conclusion of cooperation agreement (the "Cooperation Agreement") among

Allegro Pay sp. z o.o. ("Allegro Pay"), Allegro sp. z o.o. ("Allegro"), Aion Bank SA / NV ("Aion") and Vodeno sp. z o.o. ("Vodeno"), the Company hereby announces that Allegro Pay and Allegro decided to terminate the Cooperation Agreement, with a 6-month notice period which expires on 31 July 2025.

The main scope of the Cooperation Agreement was to establish the rules of cooperation regarding certain banking products based on the Banking-as-a-Service model, used as the basis for Allegro Cash. However, following the results of Allegro Cash service, Allegro Pay and Allegro decided to review strategic options for the future of Allegro Cash service and terminate the existing Cooperation Agreement. The service will be supported during the termination period. Allegro and Allegro Pay will decide by the termination date if the Allegro Cash service will be continued in a revised form.

The Company emphasizes that the termination of the Cooperation Agreement is not related to and does not affect the Receivables Purchase Agreement of October 11, 2021, which regulates cooperation on the disposal of receivables.
