Title: Allegro sp. z o.o. and InPost sp. z o.o. signed an annex to theFramework Agreement

Legal basis: Article 17 of MAR - inside information

The Board of Directors of Allegro.eu (the _quot;Company") informs thatAllegro sp. o.o., a wholly owned indirect subsidiary of the Company, andInPost sp. z o.o. (_quot;InPost_quot;) signed an annex to the Framework Agreementof 12 September 2020 (the "Annex").

The annex modifies the Framework Agreement with respect to priceindexation of charges for volumes to be delivered by InPost in theperiod from November 2023 to December 2024. These modifications are asfollows:

- The price indexation of 12.8%, in accordance with the originalindexation clause, will apply only to volumes delivered in November andDecember 2023;

- The price indexation increase for volumes delivered between Januaryand December 2024 will depend on the actual year-on-year growth in thevolumes delivered for Allegro by InPost during that period. Theindexation will decrease from 12.8% towards a minimum of 6% as volumegrowth increases, based on an agreed grid.

The parties provided for the possibility for InPost to terminate theAnnex (in terms of mentioned modifications) with a two-month noticeperiod. In this event Allegro will retain the right to discounts onvolumes delivered prior to the termination of the Annex, except that thesize of the discount to be applied will depend on the volume growth forthe full twelve months of 2024 in accordance with the agreed grid.

In addition, price indexation clauses for subsequent years are unchangedexcept for the fact that the increases under the existing contract willbe moved to cover calendar years, such that the next increase will applyfor January 2025 to December 2025 (as opposed to November 2024 toOctober 2025 under the original agreement) for the sake of greaterclarity and predictability.
