Działając na podstawie art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady oraz dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE ("Rozporządzenie MAR"), w nawiązaniu do: (i) raportu bieżącego nr 14/2021 z dnia 4 listopada 2021 r. w przedmiocie zawarcia umowy nabycia Mall Group a.s. i WE|DO CZ s.r.o. ("Umowa SPA"), (ii) raportu bieżącego nr 19/2021 z dnia 2 grudnia 2021 r. w przedmiocie spełnienia się pierwszego warunku zawieszającego zastrzeżonego w Umowie SPA, (iii) raportu bieżącego nr 21/2021 z dnia 13 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, (iv) raportu bieżącego nr 22/2021 z dnia 17 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, (v) raportu bieżącego nr 23/2021 z dnia 31 grudnia 2021 r. w przedmiocie wydzielenia Vivantis a.s. z grupy kapitałowej Mall Group a.s., (vi) raportu bieżącego nr 1/2022 z dnia 13 stycznia 2022 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, (vii) raportu bieżącego nr 4/2022 z dnia 24 stycznia 2022 r. w przedmiocie przedłużenia postępowania w przedmiocie zgody na dokonanie koncentracji, prowadzonego przez polski organ antymonopolowy, (viii) raportu bieżącego nr 5/2022 z dnia 24 stycznia 2022 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA oraz (ix) raportu bieżącego nr 11/2022 z dnia 2 marca 2022 r. w przedmiocie spełnienia się ostatniego warunku zawieszającego zastrzeżonego w Umowie SPA, Rada Dyrektorów Allegro.eu ("Spółka", "Allegro.eu") niniejszym informuje, że Strony uzgodniły termin Zamknięcia, który został ustalony na dzień 1 kwietnia 2022 r.

Na Zamknięciu Allegro.eu wyemituje 33.649.039 akcji nowej emisji, stanowiące Składnik Akcyjny, które zostaną przydzielone odpowiednim Sprzedającym, po cenie emisyjnej wynoszącej 55,98 PLN za akcję, w następujący sposób:

(i) 10.023.118 akcji do EC Investments w zamian za wkład o łącznej wysokości 561.094.145,64 PLN;

(ii) 10.023.118 akcji do PPF Group w zamian za wkład o łącznej wysokości 561.094.145,64 PLN; oraz

(iii) 13.602.803 akcji do Rockaway Capital w zamian za wkład o łącznej wysokości 761.484.911,94 PLN.

Zgodnie z postanowieniami Umowy SPA, pozostała część Ceny zostanie zapłacona gotówką.

Allegro.eu poinformuje o przeprowadzeniu Zamknięcia w odrębnym raporcie bieżącym.

Terminy pisane wielką literą, ale niezdefiniowane w niniejszym raporcie bieżącym, mają znaczenie przypisane im w raporcie bieżącym nr 14/2021 z dnia 4 listopada 2021 r.

Title: Setting the date of the Closing of the acquisition of Mall Group a.s. and WE|DO CZ s.r.o.

Acting on the basis of Art. 17 sec. 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), with reference to: (i) current report No. 14/2021 of 4 November 2021 on the execution of agreement to acquire Mall Group a.s. and WE|DO CZ s.r.o. (the "SPA"), (ii) current report No. 19/2021 of 2 December 2021 on the fulfilment of the first condition precedent stipulated in the SPA, (iii) current report No. 21/2021 of 13 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, (iv) current report No. 22/2021 of 17 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, (v) current report No. 23/2021 of 31 December 2021 on the carve-out of Vivantis a.s. from the Mall Group a.s. capital group, (vi) current report No. 1/2022 of 13 January 2022 on the fulfilment of another condition precedent stipulated in the SPA, (vii) current report No. 4/2022 of 24 January 2022 on the extension of the merger approval proceedings conducted by the Polish antitrust authority, (viii) current report No. 5/2022 of 24 January 2022 on the fulfilment of another condition precedent stipulated in the SPA and (ix) current report No. 11/2022 of 2 March 2022 on the fulfilment of the final condition precedent stipulated in the SPA, the Board of Directors of the Board of Directors of Allegro.eu (the "Company", "Allegro.eu") hereby informs that the Parties have agreed on the date of the Closing which has been set for 1 April 2022.

At Closing, Allegro.eu will issue 33,649,039 new shares, constituting the Share Component, to be allotted to the relevant Sellers at the subscription price equal to PLN 55.98 per share, as follows:

(i) to EC Investments 10,023,118 shares against consideration of PLN 561,094,145.64;

(ii) to PPF Group 10,023,118 shares against consideration of PLN 561,094,145.64; and

(iii) to Rockaway Capital 13,602,803 shares against consideration of PLN 761,484,911.94.

Pursuant to the provisions of the SPA, the reminder of the Price shall be paid in cash.

Allegro.eu will inform in a separate current report once the Closing has taken place.
