	Działając na podstawie art. 17 ust. 1 Rozporządzenia (UE) nr 596/2014 Parlamentu Europejskiego i Rady z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającym dyrektywę 2003/6/WE Parlamentu i Rady i dyrektywę Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE ("Rozporządzenie MAR"), w nawiązaniu do: (i) raportu bieżącego nr 14/2021 z dnia 4 listopada 2021 r. w przedmiocie zawarcia umowy nabycia Mall Group a.s. i WE DO CZ s.r.o. ("Umowa SPA"), (ii) raportu bieżącego nr 19/2021 z dnia 2 grudnia 2021 r. w przedmiocie spełnienia się pierwszego warunku zawieszającego zastrzeżonego w Umowie SPA oraz (iii) raportu bieżącego nr 21/2021 z dnia 13 grudnia 2021 r. w przedmiocie spełnienia się kolejnego warunku zawieszającego zastrzeżonego w Umowie SPA, Rada Dyrektorów Allegro.eu ("Spółka", "Allegro.eu") niniejszym informuje, że w dniu 17 grudnia 2021 powzięła informację o wydaniu przez Urząd Antymonopolowy, jako organ antymonopolowy na Słowacji, zgody na przeprowadzenie Transakcji. Tym samym ziścił się kolejny warunek zawieszający, od którego uzależnione jest zamknięcie Transakcji. Spółka przekazała informację o ziszczeniu się warunku dotyczącego (i) zgody dotyczącej kontroli bezpośrednich inwestycji zagranicznych (ang. FDI) na Słowenii raportem bieżącym nr 19/2021 oraz (ii) zgody Urzędu Ochrony Konkurencji w Czechach na przeprowadzenie Transakcji raportem bieżącym 21/2021.
W efekcie, na dzień publikacji niniejszego raportu bieżącego, spełnione zostały trzy warunki zawieszające zastrzeżone w Umowie SPA. Jednocześnie nieziszczone pozostają trzy pozostałe warunki zawieszające zastrzeżone w Umowie SPA dotyczące zgód odpowiednich organów antymonopolowych wskazane w raporcie bieżącym nr 14/2021 z dnia 4 listopada 2021 r.

Title: Inside information – fulfilment of another condition precedent stipulated in the agreement on the acquisition of Mall Group a.s. and WE|DO CZ s.r.o.

Acting on the basis of Art. 17 sec. 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), with reference to: (i) current report No. 14/2021 of 4 November 2021 on the execution of agreement to acquire Mall Group a.s. and WE|DO CZ s.r.o. (the "SPA"), (ii) current report No. 19/2021 of 2 December 2021 on the fulfilment of the first condition precedent stipulated in the SPA and (iii) current report No. 21/2021 of 13 December 2021 on the fulfilment of another condition precedent stipulated in the SPA, the Board of Directors of Allegro.eu (the "Company", "Allegro.eu") hereby gives notice that on 17 December 2021 it learned that the Antimonopoly Office, as the antimonopoly authority in the Slovak Republic, has cleared the Transaction.

Therefore, another of the conditions precedent on which completion of the Transaction is contingent has been fulfilled. The Company provided information on the fulfilment of condition precedent relating to (i) the FDI clearance in Slovenia in current report No. 19/2021 and (ii) consent of the Office for the Protection of Competition, as the antimonopoly authority in the Czech Republic, to complete the Transaction in current report No. 21/2021.

As a result, as at the publication date of this current report, three of the conditions precedent stipulated in the SPA have been fulfilled. At the same time, the three other conditions precedent stipulated in the SPA with regard to the clearance from the relevant antimonopoly authorities and mentioned in current report No. 14/2021 of 4 November 2021 are yet to be fulfilled.

Capitalized terms used but not defined in this current report have the meanings ascribed to them in current report No. 14/2021 of 4 November 2021.
