Title: Allegro sp. z o.o. signed an agreement with RUCH S.A.

The Board of Directors of Allegro.eu SA (the _quot;Company") hereby informsthat Allegro sp. o.o., a wholly owned indirect subsidiary of theCompany, signed an agreement on 2 April 2024 (the "Agreement") with RUCHS.A. (the "RUCH"), which offers the delivery service to the ORLEN Paczkanetwork.

As part of the ongoing cooperation between Allegro and RUCH, inoperation since 2017/2018, the Parties signed the latest Agreementreferring to (i) deliveries to RUCH's ORLEN Paczka out-of-home networkof automated parcel machines ("APMs") and pick-up drop-off points("PUDOs"), and (ii) deliveries to Allegro's out-of-home network of OneBox and One Point. The Agreement includes a volume declaration for RUCH.

RUCH's fees set out in the Agreement will remain fixed until the end of2024 and then adjusted by the formula outlined in the Agreement inJanuary of each subsequent year. The formula at hand is based on thechanges in macroeconomic factors, namely the inflation rate, averagewage, and diesel prices. The technical conditions of deliveries toAllegro's One network are to be agreed between the Parties separately.

The Agreement is concluded for a definite term until the end of 2030with a 12-month termination period, whereas termination is not possibleearlier than 36 months from the date of signing the contract. From 2025onward, the contract envisages rebates, surcharges and earliertermination in the event of significant discrepancies between declaredand actual volumes or quality underperformance. In turn, RUCH shallmaintain certain capacity and service levels for the term of theAgreement and further APMs network development in Poland.

Furthermore, both Parties committed to further their cooperation indeveloping new services and identifying operational synergies. Theparties also agreed to provide mutual marketing services throughout theAgreement, including placing the Allegro brand on ORLEN Paczka lockers.

The Agreement is part of the Company's ongoing efforts to scale anddiversify the network of APMs and PUDOs through expanding cooperationwith its logistics partners as well as increasing utilisation of theCompany's own APM network.
