Legal basis: Article 11 of the Luxembourg Law of 11 January 2008 on transparency requirements, as amended

ALLEGRO.EU S.A. RB-W 34 2025

The Board of Directors of Allegro.eu (the "Company") hereby informs that on 12 December 2025 the Company received notifications with respect to major holding in accordance with the Law, sent by:

1/ Permira VI Investment Platform Limited with its registered seat in London, United Kingdom and

2/ Permira VI Investment Platform S.à r.l. with its registered office in Luxembourg, Grand Duchy of Luxembourg.

The notification concerns distribution of 12.44% of the Company's shares by Permira VI Investment Platform Limited to its shareholder, Permira VI Investment Platform S.à r.l., as the result of an intra-group reorganisation. Following such intra-group reorganisation, Permira VI Investment Platform Limited holds no remaining shares or voting rights in Allegro.eu. Permira VI Investment Platform S.à r.l. now holds 12.44% of the shares in Allegro.eu.
