Rada Dyrektorów Allegro.eu ("Spółka") informuje, że w dniu 13 października 2024 r. Roy Perticucci wraz ze Spółką uzgodnili jego ustąpienie ze stanowisk zajmowanych w Grupie Allegro, w tym Dyrektora Wykonawczego i CEO Allegro.eu oraz Prezesa Zarządu Allegro sp. z o.o., co nastąpi w dniu 26 czerwca 2025 r., kiedy spodziewane jest odbycie się Zwyczajnego Walnego Zgromadzenia Akcjonariuszy.

Roy Perticucci pozostanie wtedy w Spółce jako Specjalny Doradca Grupy, Allegro nadal będzie korzystało z jego doświadczenia w branży e-commerce, a on sam zapewni płynne i uporządkowane przekazanie obowiązków. Spółka uruchomiła proces wyboru kolejnego CEO i poinformuje o dokonaniu takiego wyboru w odrębnym raporcie bieżącym.

Rada Dyrektorów podkreśla, że pod kierownictwem Roya Perticucci w okresie od września 2022 r. Grupa Allegro znacząco poprawiła wyniki finansowe w oparciu o swoją pozycję wiodącej platformy zakupowej w Polsce. Grupa Allegro z sukcesem uruchomiła w tym czasie swój model biznesowy za granicą jednocześnie dynamicznie rozwijając kluczowe obszary wzrostu obejmujące reklamę, fintech i logistykę. Grupa Allegro jest dziś w dobrej sytuacji finansowej i ma możliwości inwestowania w przyspieszenie przyszłego rentownego wzrostu.

Roy Perticucci i Rada Dyrektorów zgadzają się, że jest to odpowiedni czas na zmianę przywództwa gdy Spółka jest dobrze przygotowana do wykorzystania nadchodzących możliwości wzrostu.

Title: Announcement of a change in the position of CEO of Allegro Group

Legal basis: art. 17 sec. 1 of MAR - inside information

The Board of Directors of Allegro.eu ('the Board') hereby reports that on 13 October 2024, Mr. Perticucci and
the Board agreed that Mr. Perticucci will stand down from his corporate positions in Allegro Group, including
Executive Director and CEO of Allegro.eu and President of the Management Board of Allegro sp. z o.o., with
effect as of 26th June 2025 when the 2025 AGM is expected to take place.

Mr. Perticucci will move from the CEO role to act as a Special Advisor to the Group and Allegro will continue to benefit from his e-commerce expertise. Mr. Perticucci will work to ensure a smooth and orderly transition. The Board has initiated the process of selecting a new CEO. The Company will inform in a separate current report once a new CEO has been selected.

The Board recognizes that under Mr. Perticucci's leadership since September 2022, the Allegro Group has significantly improved its financial performance whilst building on its position as Poland's leading marketplace. The Allegro Group has successfully launched its marketplace model outside of Poland and rapidly developed its capabilities in key growth engines including advertising, fintech and logistics. The Allegro Group is today in robust financial health and has the flexibility to invest to accelerate future profitable growth.

Mr. Perticucci and the Board agree that it is an opportune time to change leadership as the company is well positioned to deliver on future growth opportunities.
