Title: Recommendation of the Board of Directors regarding the candidatesfor new independent non-executive Directors

The board of directors (the "Board") of Allegro.eu (the "Company")resolved to submit to the approval of the forthcoming annual generalmeeting of the shareholders of the Company the appointment of CatherineFaiers and Tomasz Suchański as independent non-executive directors uponrecommendation of the remuneration and nomination committee of theCompany (the _quot;Remuneration and Nomination Committee_quot;).

Both Ms. Faiers and Mr. Suchański have been identified and nominated bythe Remuneration and Nomination Committee as suitable candidates forappointment by the general meeting of the Company. Each of them meetsthe criteria set forth in the WSE Code of Best Practice and the protocolof the Remuneration and Nomination Committee and has expressed theirconsent to be appointed as an independent director of the Company.

With proven executive experience in roles across strategy, sales,marketing, product, technology, finance, and operations, CatherineFaiers is a highly regarded e-commerce leader. Over her career, she hasbeen responsible for successfully delivering digital, data andtechnology transformations at three leading marketplaces: Auto Trader,Addison Lee and Trainline. At present, she holds the position of ChiefOperating Officer at Auto Trader Group plc (FTSE 100 company), being anExecutive Board Director, an attendee at all Board committees and amember of the Executive team.

Previously she was a Chief Operating Officer at Addison Lee, withresponsibility for running the day to day operations of the business,strategy and M_amp;A. Before that, working as a Director of a leading onlinebusiness (Trainline), she was responsible for strategy, change, M_amp;A, andinvestor relations.

Catherine Faiers gained corporate finance experience at Director level,providing Board-level advice to public and private companies covering:M_amp;A, debt, IPO and pensions. She also worked as a Chartered Accountantand Audit team leader on a number of key accounts at PwC.

Tomasz Suchański is CEO of Żabka Group. His many years of experience anddeep understanding of the mechanisms that govern the industry allow himto direct the activities of the Żabka Group in a way that has resultedin the position of the leader of the convenience model in Central andEastern Europe.

Prior to becoming CEO in March 2016, he was involved with variousJeronimo Martins companies. He worked in the company's internationalstructures, and before that, from 2011 to 2014, he was the GeneralManager of Biedronka in Poland. Previously, he held the positions ofChief Financial Officer of Jeronimo Martins Polska, Member of theManagement Board of this company and operational director of the centralregion. Before coming to Poland in 2005, he worked on the internationalmarket dealing with Portuguese chains of the Jeronimo Martins group. In2003, he took up the post of Financial Director of the Recheio wholesalechain, and earlier, as a member of the Financial Department, he was incharge of Pingo Doce supermarkets and Feira Nova hypermarkets.

The Board believes that the appointment of Catherine Faiers and TomaszSuchański as independent directors would be in the best interests of theCompany, being a step towards the announced target of achieving amajority of Board Members being independent directors not later than 1September 2026.
