Changes in the composition of the Management Board of Allegro.pl sp. zo.o.

Legal basis: Article 17(1) of the MAR

The Board of Directors of Allegro.eu (the "Company") hereby reports that:

● on 23 June 2021 Allegro.pl sp z o.o. ("Allegro.pl"), a wholly ownedsubsidiary of the Company, received the resignation of Piotr Szybiak (amember of the Management Board of Allegro.pl) from the Allegro.pl'sManagement Board with immediate effect;

● on the same day, 23 June 2021, Seshashayee Sridhara (a.k.a. MittuSridhara) has been appointed as a member of the Management Board ofAllegro.pl effective from 1 October 2021.

Piotr Szybiak will remain an employee of Allegro until 30 September2021. Thereafter, for a period of up to 12 months he will remainavailable to assist the CEO of Allegro Francois Nuyts and Piotr'ssuccessor Mittu Sridhara on a part-time basis as may be required fromtime to time in order to ensure smooth transition.

In his resignation letter Piotr Szybiak stressed that he has spent hisentire professional career to date with Allegro, following a career pathfrom software developer to CTO and management board member. Now,following the successful IPO of the Company he has decided that hismission at Allegro.pl has been accomplished and the upcoming twentiethanniversary is a perfect moment to step down and explore new challenges.Piotr Szybiak wishes all the best to the entire Allegro team and hissuccessor Mittu Sridhara.

Mittu Sridhara has over 20 years of experience in management positions.Prior to joining Allegro.pl he had, among others, worked as CIO/CTO/CPOat Careem (ride-hailing, payment, food and transportation networkcompany acquired by UBER), Hepsiburada.com (Turkey's online retailer andmarketplace, e-payments platform and last-mile delivery company), TUIGroup (a leisure travel company operating in over 180 countries),Ladbrokes plc (a betting and gaming company), Avis Europe plc. (a carrental company) and Sabre Inc. (a global leader in travel technology).Mittu holds a Masters in Industrial Engineering from North CarolinaState University and is a graduate from the National Institute ofTechnology in Nagpur, India. He has a track record in digitaltransformation and a customer-centric approach to creating new products.He is also a passionate people manager, experienced in working in ageographically and culturally diverse environment.

Francois Nuyts, the CEO of Allegro.eu commented: "we are truly gratefulto Piotr for his unique contribution to Allegro's growth and successover the last 20 years. While we regret Piotr's decision to leave Allegro, we also appreciatehis contribution to the preparations for the succession, which sets newstandards in how succession in business organisations should look like.We wish Piotr all the best for the future.

I would also like to welcome Piotr's successor Mittu Sridhara who willjoin us as the new CTO and management board member of Allegro.pl on 1October 2021. I am confident Mittu will be an immensely valuableaddition to our management team.
