Sub: Notice of Postal Ballot - Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)
Pursuant to Regulation 30 of the Listing Regulations, please find enclosed a copy of the Postal Ballot Notice dated January 17, 2025 together with the Explanatory Statement thereto (“ Postal Ballot Notice ”), for seeking approval of the members of Allcargo Terminals Limited on the Special Business, by way of Special Resolution as set out below, through Postal Ballot by means of remote e-voting process (“ e-voting ”), pursuant to the provisions of Section 110 of the Companies Act, 2013 read with Circulars issued by Ministry of Corporate Affairs (“ MCA Circulars ”) and Securities and Exchange Board of India, (“ SEBI Circulars ”) from time to time, Secretarial Standard on General Meetings issued by the Institute of Company Secretaries of India (“ SS-2 ”) and any other applicable laws, rules, and regulations:

In compliance with the applicable MCA Circulars, the Postal Ballot Notice is being sent to all members whose names appear in the Register of Members / Register of Beneficial Owners maintained by the Depositories viz. National Securities Depository Limited (“ NSDL ”) and Central Depository Services (India) Limited (“ CDSL ”) and whose email address is registered with NSDL/CDSL, Depository Participants and/or MUFG Intime India Private Limited (Formerly known as Link Intime India Private Limited) (“ RTA ”) as on Friday, January 10, 2025 (“cut-off date”).
The Company has engaged the services of NSDL for facilitating e-voting to enable the members to cast their votes electronically. The e-voting on the resolutions set out in the Postal Ballot Notice shall commence on Saturday, January 18, 2025, at 9:00 a.m. (IST) and ends on Sunday, February 16, 2025, at 5:00 p.m. (IST). The e-voting module shall be disabled by NSDL thereafter.

The Postal Ballot Notice is also available on the Company’s website at www.allcargoterminals.com, websites of the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively, and also on the e-voting website of NSDL at www.evoting.nsdl.com .
The results of the Postal Ballot will be announced on or before Tuesday, February 18, 2025 .

NOTICE PURSUANT TO SECTIONS 108 AND 110 OF THE COMPANIES ACT, 2013 AND RULES 20 AND 22 OF THE COMPANIES (MANAGEMENT AND ADMINISTRATION) RULES, 2014, AS AMENDED, READ WITH THE SECURITIES AND EXCHANGE BOARD OF INDIA (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015, AS AMENDED

Notice is hereby given pursuant to Section 108 read with Section 110 and other applicable provisions, if any, of the Companies Act, 2013 (“Act”) (including any statutory modification(s) or re-enactment thereof, for the time being in force), read with Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014 (“Rules”), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), Secretarial Standard on General Meetings issued by The Institute of Company Secretaries of India (“SS2”), each as amended, the Special Resolution as set out in this Notice is proposed for approval by the Members of the Company through Postal Ballot by voting through electronic means only (“remote e-voting”).
The Explanatory Statement pursuant to Section 102 of the Act, read with Rules framed thereunder, setting out the material facts concerning the resolution mentioned in this Postal Ballot Notice (“Notice”), is annexed hereto for your consideration.
In terms of the requirements specified in General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, 22/2020 dated June 15, 2020, 33/2020 dated September 28, 2020, 39/2020 dated December 31, 2020, 10/2021 dated June 23, 2021, 20/2021 dated December 8, 2021, 3/2022 dated May 5, 2022, 11/2022 dated December 28, 2022, 09/2023 dated September 25, 2023 and 09/2024 dated September 19, 2024 issued by the Ministry of Corporate Affairs (“MCA Circulars”) and pursuant to recent SEBI Circular No: SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 the Notice is being sent in electronic mode only to those Members whose e-mail address are registered with the Company/Depositories. Accordingly, physical copy of the Notice along with Postal Ballot form and prepaid business reply envelope are not being sent to the Members for this Postal Ballot. The communication of the assent or dissent of the Members would only take place through the remote e-voting system.
In compliance with Regulation 44 of the SEBI Listing Regulations and pursuant to the provisions of Section 108 and Section 110 of the Act read with the Rules, the MCA Circulars and SS-2, the Company is providing remote e-voting facility to its Members, to enable them to cast their votes electronically
instead of submitting the Postal Ballot Form physically. The Company has engaged the services of National Securities Depository Limited (“NSDL”) for the purpose of providing remote e-voting facility to its Members. The instructions for remote e-voting are appended to this Notice. The Notice is also - - - available on the website of the Company at https://www.allcargoterminals.com/investor agm egm notice-details/ .
Members desiring to exercise their vote through the remote e-voting process are requested to carefully read the instructions indicated in this Notice and record their assent (FOR) or dissent (AGAINST) by following the procedure as stated in the Notes forming part of the Notice for casting of votes by remote e-voting. The schedule of remote e-voting is as under:-

SPECIAL BUSINESS: -
1. TO OFFER, ISSUE AND ALLOT EQUITY SHARES ON PREFERENTIAL BASIS
To consider and, if thought fit, to pass the following resolution as a Special Resolution:
“RESOLVED THAT pursuant to the provisions of section 23, 42, 62(1)(c) and all other provisions of the Companies Act, 2013 (“ the Act ”), read with the Companies (Prospectus and Allotment of Securities) Rules, 2014 and the Companies (Share Capital and Debentures) Rules, 2014 (including any statutory modification(s), amendment(s) or re-enactment(s) thereof, for the time being in force), circulars, notifications issued by Ministry of Corporate Affairs (“ MCA ”), and in accordance with the enabling provisions of the Memorandum of Association and Articles of Association of the Company, and subject to the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 (“ ICDR Regulations ”), the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeover) Regulations, 2011 (“ SAST Regulations ”), the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘ Listing Regulations ’) as in force and subject to other applicable Rules / Regulations / Guidelines /Notifications / Circulars and clarifications issued thereunder, if any, from time to time by the Securities and Exchange Board of India (“ SEBI ”), Bombay Stock Exchange (“ BSE ”), National Stock Exchange of India Limited (“ NSE ”) and/ or any other competent authorities (hereinafter referred to as ‘Applicable Regulatory Authorities’) to the extent applicable, and subject to the approval(s), consent(s), permission(s) and/or sanction(s), if any, of the appropriate authorities, institutions or bodies as may be required, and subject to such conditions as may be prescribed by any of them while granting any such approval(s), consent(s), permission(s), and/or sanction(s), and which may be agreed to by the Board of Directors of the Company (hereinafter called ‘the Board’ which term shall be deemed to include any committee which the Board may have constituted or hereinafter constitute to exercise its powers including the powers conferred by this resolution or any person authorized by the Board or its committee for such purpose and subject to any other alterations, modifications, corrections, changes and variations that may be decided by the Board in its absolute discretion the consent of the Members of the Company be and is hereby accorded to the Board to issue, create, offer and allot on a preferential basis 63,64,800 equity shares of the Company having the face value of Rs. 2/- each fully paid-up at a price of Rs.42.4 per share for consideration other than cash i.e., by way of swap of shares to Mr. Ashish Chandna, Chief Executive Officer and Key Managerial Personnel of the Company (“Proposed Allottee”) in lieu of purchase of 40,80,000 equity shares of Speedy Multimodes Limited (“SML”) held by the Proposed Allottee of face of Rs 10/- each fully paid
up at a price of Rs. 66.3 per share in accordance with the provisions of Chapter V of SEBI ICDR Regulations, as on the Relevant Date on such terms and conditions as may be approved by the Board.
RESOLVED FURTHER THAT the minimum price of the Equity shares so issued shall not be less than the price arrived at, in accordance with Chapter V of ICDR Regulations and on such terms and conditions, as are stipulated in the explanatory statement attached and as determined by the Board in accordance with the ICDR Regulations and other applicable laws.
RESOLVED FURTHER THAT in accordance with the provision of Chapter V of ICDR Regulations, the ‘Relevant Date’ for the purpose of calculating the price for the Preferential Issue of Equity Shares be and is hereby fixed as Friday, January 17, 2025 which is 30 days prior to the date of passing of the Special Resolution by the Members of the Company.
RESOLVED FURTHER THAT without prejudice to the generality of the above resolution, the issue of the Equity Shares to be allotted under the Preferential issue shall be subject to the following terms and conditions, apart from others as prescribed under applicable laws:

a) The allotment of Equity Shares by the Company to the Proposed Allottee is in consideration for the purchase of 15 % shareholding of Speedy Multimodes Limited held by the Proposed Allottee in the ratio 1.56:1, i.e., 156 Equity Shares of the Allcargo Terminals Limited for every 100 shares held in Speedy Multimodes Limited consequently 63,64,800 equity shares of Allcargo Terminals Limited will be issued at Rs 42.4 per equity share for purchase of 40,80,000 shares of Speedy Multimodes Limited valued at Rs. 66.3 per equity share.

b) The Equity Shares to be allotted to the Proposed Allottee shall be under lock-in for such period as may be prescribed under SEBI ICDR Regulations.

c) The Equity Shares so allotted to the Proposed Allottee under this resolution shall not be sold/transferred, hypothecated or encumbered in any manner during the period of lock-In period provided under SEBI ICDR Regulations except to the extent and in the manner permitted there under.

d) The Equity Shares shall be allotted within a period of 15 (Fifteen Days) from the date of passing the resolution provided where the allotment of equity shares is pending on Account of pendency of any approval or permission for such allotment by any regulatory authority the allotment shall be completed within 15 (days) from the date of such Approval or permission. Allotment shall only be made in dematerialized form. The new equity Shares issued and allotted pursuant to this resolution shall be subject to the provisions of Memorandum of Association and Articles of Association of the Company and shall rank pari passu in all respects with the existing equity shares of the Company.

e) The price determined and the number of Equity Shares to be allotted shall be subject to further appropriate adjustments, if any, in accordance with the provisions of Companies Act, 2013 and ICDR Regulations and any other applicable laws for the proposed issue.
RESOLVED FURTHER THAT pursuant to the provisions of the Act, the names and address of the allottee be recorded in Form PAS-5 by the Company for the issue of invitation to subscribe to the Equity Shares and a private placement offer letter in Form No. PAS-4 together with an application form be issued to the allottee inviting him to subscribe to the Equity Shares, as per the draft approved by the Board and consent of the members of the Company is hereby accorded to the issuance of the same to the allottee inviting him to subscribe to the equity shares.
RESOLVED FURTHER THAT the members be and hereby take note of certificate from M/s MMJB & Associates LLP, Practicing Company Secretaries, as required under Regulation 163(2) of the ICDR Regulations certifying that the above issue of the Equity Shares is being made in accordance with the ICDR Regulations.
RESOLVED FURTHER THAT for the purpose of giving effect to this resolution, the Board/Committee(s) of the Board or the Key Managerial Personnel be and are hereby authorized severally to do all such acts, deeds, matters and things as it may in its absolute discretion consider necessary, desirable or expedient including application to Stock Exchanges for obtaining of inprinciple approval, listing and trading of shares, filing of requisite documents/ e-forms with the Registrar of Companies, National Securities Depository Limited ( NSDL ), Central Depository Services (India) Limited ( CDSL ) and/ or such other authorities as may be necessary for the purpose, to resolve and settle any questions and difficulties that may arise in the proposed issue, offer and allotment of the said Equity Shares, signing of all deeds and documents as may be required without being required to seek any further consent or approval of the members.
RESOLVED FURTHER THAT all actions taken by the Board or Committee(s) duly constituted for this purpose in connection with any matter(s) referred to or contemplated in the foregoing resolution be and are hereby approved, ratified and confirmed in all respects.”

As per Section 110 and other applicable provisions of the Act read with Rule 22 of the Companies (Management and Administration) Rules, 2014, as amended and guidelines prescribed by the Ministry of Corporate Affairs (‘ MCA ’) for holding general meetings/ conducting postal ballot, vide General Circular No. 14/2020 dated 8 April 2020, No. 17/2020 dated 13 April 2020, No. 22/2020 dated 15 June 2020, No. 33/2020 dated 28 September 2020, No. 39/2020 dated 31 December 2020, No. 10/2021 dated 23 June 2021, No. 20/2021 dated 8 December 2021, No. 03/2022 dated 5 May 2022, No. 11/2022 dated 28 December 2022, No. 09/2023 dated 25 September 2023 and 09/2024 dated September 19, 2024 (hereinafter collectively referred to as ‘ MCA Circulars ’), and pursuant to recent SEBI Circular No: SEBI/HO/CFD/CFD-PoD-2/P/CIR/2024/133 dated October 03, 2024 this Notice is being sent only by e-mail to the members, whose e-mail ID is registered with the Company or with the National Securities Depository Limited (‘ NSDL ’)/ Central Depository Services (India) Limited ( ‘CDSL ’) (hereinafter collectively referred to as ‘ Depositories ’) and whose names appear in the Register of Members maintained by the Company/ list of Beneficial Owners as received from the Depositories as of Friday, January 10, 2025 (‘ Cut-off Date ’).

It is clarified that all members of the Company as on the Cut-off Date (including those members who may not have received this Notice due to non-registration of their e-mail ID with the Company or the Depositories) shall be entitled to vote on the Resolution in accordance with the process specified in this Notice.

The members may note that this Notice will also be available on the Company’s www.allcargoterminals.com, at websites of the Stock Exchanges i.e. BSE Limited (‘ BSE ’) and National Stock Exchange of India Limited (‘ NSE ’) at www.bseindia.com and www.nseindia.com, respectively and NSDL at http://www.evoting.nsdl.com being the agency providing the remote e-voting facility.

The MCA has taken a ‘Green Initiative in Corporate Governance’ by allowing companies to send documents to their members in electronic mode. To support this green initiative and to receive communication from the Company in electronic mode, members who have not registered their e-mail ID are requested to contact, the Registrar and Share Transfer Agent of the Company (‘ RTA ’) and register their e-mail ID. Members holding equity shares in demat mode are requested to contact their respective Depository Participants (‘ DPs ’) for the same.

Members holding equity shares in demat mode are requested to provide their PAN, Bank details and intimate changes, if any, pertaining to their name, postal address, e-mail ID, telephone and mobile number, nomination, power of attorney, bank details (bank account number, bank and branch name and address, IFSC and MICR code) to their respective DPs. Changes intimated to the DPs will automatically be reflected in the Company’s record which will help the Company/ RTA to provide efficient and better services.

Institutional members (i.e. other than Individuals, Hindu Undivided Family, Non-Resident Indians) are required to send a scanned copy (PDF/ JPG Format) of their board resolution/
authority letter/ power of attorney etc., authorizing their representative to participate through remote e-voting. The said resolution/ authority letter/ power of attorney etc. shall be sent to the Scrutinizer(s) by e-mail through their registered e-mail ID at [email protected] with a copy to [email protected].

Voting rights will be reckoned on the paid-up value of equity shares registered in the name(s) of the members as on the Cut-off Date. Only those members whose names are recorded in the Register of Members of the Company or in the list of Beneficial Owners received from the Depositories as on the Cut-off Date will be entitled to cast their vote by remote e-voting. A person who is not a member as on the Cut-off Date should treat this Notice for information purpose only.

Remote e-voting will commence on Saturday, January 18, 2025 at 09:00 a.m. (IST) and end on Sunday, February 16, 2025 at 05:00 p.m. (IST). The e-voting module shall be disabled by NSDL for voting thereafter. Once the vote on a resolution is cast by the Member, the Member shall not be allowed to change it subsequently.

A Member cannot exercise his/her vote by proxy on Postal Ballot.

The Company has appointed Mr. Saurabh Agarwal (Certificate of Practice No. 20907) and failing him Mr. Omkar Dindorkar (COP no: 24580) partners of M/s. MMJB & Associates LLP Practicing Company Secretaries Firm as scrutinizer to scrutinize the e-voting process in a fair and transparent manner. They have given their consent for such appointment.

The Scrutinizer(s) shall submit their Report within two working days of the conclusion of the remote e-voting to the Chairman/ Managing Director/ Company Secretary, who shall countersign and declare the result of the voting forthwith. The Resolution, if passed by the requisite majority, shall be deemed to have been passed at a duly convened general meeting.

The resolution, if passed by the requisite majority through Postal Ballot, will be deemed to have been passed on the last date specified for voting i.e. Sunday, February 16, 2025. Further, resolution passed by the members through postal ballot are deemed to have been passed as if they are passed at a general meeting of the members.

The result of the Postal Ballot along with the Scrutinizers’ Report will also be placed on the Company’s website at https://www.allcargoterminals.com/investor-announcements/ and on the website of NSDL at http://www.evoting.nsdl.com. The Company shall simultaneously forward the result to NSE and BSE, where the equity shares of the Company are listed.

Electronic copies of all the documents referred to in the Notice and the Statement shall be made available for inspection. Members will be able to inspect all documents referred to in the Notice electronically without any fee from the date of circulation of this Notice till the period of the conclusion of the remote e-voting. Members seeking inspection of such documents can send an e-mail to [email protected].

The details in terms of SEBI Listing Regulations and other applicable provisions of the Act (including SS-2) are annexed hereto and form part of this Notice.

SEBI vide its Circular dated January 25, 2022 has mandated that all requests for transfer of securities including transmission and transposition requests, shall be processed only in dematerialized form. In view of the same and to eliminate all risks associated with physical shares and avail various benefits of dematerialization, Members are advised to dematerialize the shares held by them in physical form. Members can contact the Company or RTA for assistance in this regard.

Members holding shares in physical form, in identical order of names, in more than one folio are requested to send to the Company or RTA, the details of such folios together with the share certificates along with the requisite KYC Documents for consolidating their holdings in one folio. Requests for consolidation of share certificates shall be processed in dematerialized form.

As per the provisions of Section 72 of the Act and aforesaid SEBI Circulars, the facility for making nomination is available for the Members in respect of the shares held by them in physical mode. Members who have not yet registered their nomination are requested to register the same by submitting Form No. SH-13 with RTA.
Further, members holding physical shares are informed that they can opt out of nomination or cancel the existing nomination by filing following form with RTA:-

a. Form ISR – 3: For opting out of nomination by member(s).

b. Form SH -14: For cancellation or variation to the existing nomination of the member(s).
INSTRUCTIONS FOR REMOTE E-VOTING
In compliance with the provisions of Section 108, 110 and other applicable provisions of the Act, read with Rule 20 and 22 of the Companies (Management and Administration) Rules, 2014, as amended, the MCA Circulars and Regulation 44 of the SEBI Listing Regulations read with Master Circular dated 11 July 2023 issued by SEBI on e-voting facility provided by Listed Entities and SS-2, members are provided with the facility to cast their vote electronically, through the e-voting services provided by NSDL on the Resolution set-forth in this Notice of Postal Ballot, through remote e-voting only.

EXPLANATORY STATEMENT UNDER SECTION 102 OF THE COMPANIES ACT, 2013
The members of Allcargo Terminals Limited (the “Company”/“ATL”) are informed that Board of Directors at its meeting held on January 17, 2025 has approved acquisition of 40,80,000 Equity Shares (15%) of Speedy Multimodes Limited (“SML”), held by Mr Ashish Chandna, Chief Executive Officer and Key Managerial Personnel of ATL and SML.
In consideration of the acquisition, the Company intends to issue 63,64,800 Equity shares with a face value of Rs 2 each, at an issue price of Rs 42.4 per equity share. This share swap will be executed for consideration other than cash.
In this regard the Board of Directors at its meeting held on January 17, 2025 has approved issuance of 63,64,800 equity shares of the Company by way of preferential Issue at an issue price of Rs 42.4 per equity share for consideration other than cash in accordance with Chapter V of ICDR Regulations and such other terms and conditions as may be determined by the Board in accordance with ICDR Regulations to the following identified person (“ the Proposed Allottee ”):

The following disclosures for the issue of equity shares on preferential basis are made in accordance with the provisions of Section 42 and 62 of the Companies Act, 2013 and Regulation 163 of ICDR Regulations and the Companies (Prospectus and Allotment of Securities) Rules, 2014 and the Companies (Share Capital and Debenture) Rules, 2014: -
1. The date of Passing Board Resolution for approving Preferential Issue
The Board of Directors of the Company has approved the preferential Issue of 63,64,800 at an Issue price of Rs 42.4 per equity share at its Meeting held on January 17, 2025.
2. Maximum number of securities offered and the price at which security is being offered:
The resolution set out in the notice authorises the Board to issue up to 63,64,800 Equity shares having face value of Rs.2/- each at a price of Rs. 42.4 per equity share to the Proposed Allottee in lieu of purchase of 40,80,000 Shares valued at Rs.66.3 per equity share of SML held by Mr Ashish Chandna on preferential basis.
3. Basis or justification for the price (including premium, if any) at which the offer or invitation is being made
The value of Equity Share of the Company and SML has been derived as per Valuation Report being prepared by M/s KPMG Valuation Services LLP, Registered Valuer having Registration No. IBBI/RV-E/06/2020/115 in accordance with the requirements of the SEBI ICDR Regulations and Companies Act, 2013.The valuation report is also uploaded on the website of the Company.

The equity shares of the Company would be issued at such terms as prescribed in the aforesaid resolution.
7. The proposed time within which the issue or allotment shall be completed:
As required under the SEBI (ICDR) Regulations, Equity shares shall be issued and allotted by the Company within a period of Fifteen (15) days from the date of passing of this resolution provided that where the issue and allotment of the said Equity shares is pending on account of pendency of any approval for such issue and allotment by any regulatory authority or the Government, the issue and allotment shall be completed within a period of Fifteen (15) days from the date receipt of last of such approvals.

Post Allotment of 63,64,800 Equity shares to Mr. Ashish Chandna, He shall hold 2.53% of equity shares in the Company. However, the proposed allotment of shares would not result in any change in control of the Company.
10. The number of persons to whom allotment on preferential basis have already been made during the year, in terms of number of securities as well as price.
Save and except the preferential issue as proposed in the resolution as set in the accompanying Notice, the Company has not made any allotment on preferential basis during the current financial year 2024-25.
11. Objects of the preferential issue
Allcargo Terminals Limited’s regular operations manages Container Freight Stations (CFS) and Inland Container Depots (ICD) nationwide, offering both bonded and non-bonded warehousing, as well as import and export handling services for various types and sizes of cargo. Its strategically located CFS-ICD facilities near major ports, including Mumbai, Mundra, Kolkata, Chennai, and Dadri, ensure enhanced connectivity and smooth operational flow.
Speedy Multimodes Limited, a subsidiary of the Company, operates in the same line of business. It has a strong presence near key ports such as JNPT (Nhava Sheva) and Mundra, both of which are crucial for the country's business in this sector. In addition to offering bonded and non-bonded warehousing and import/export handling for a variety of cargo types and sizes, SML also provides specialized services, including reefer plugging and hazmat cargo. The object of the acquisition of the balance 15% stake held by Mr Ashish Chandna, is to gain the operational efficiency to a better extent and so that SML becomes the wholly owned subsidiary and ATL has advantages on the operational, regulatory and procedural economies.
ATL had acquired 2,31,20,000 equity shares (85%) of Speedy Multimodes Limited (“SML”) in the year 2021 from Avvashya Capital Private Limited, thereby making it a subsidiary of the Company. upon execution of the transaction, ATL will have 100% stake in SML.
Hence, 85% of the shareholding is held by ATL while the rest 15% of the Shareholding is held by Mr. Ashish Chandna, CEO of ATL and SML.
Since, the Company and SML are engaged in the same line of Business, the Board of Directors of the Company had approved acquisition of 40,80,000 (15% Shareholding) equity shares of SML, held by Mr. Ashish Chandna.
In consideration to the aforesaid acquisition, the Company would issue 63,64,800 equity shares of the Company to Mr. Ashish Chandna, representing 2.53% of shareholding of the Company.

As required in Regulation 163(2) of the ICDR Regulations, a certificate from MMJB & Associates LLP, the Practicing Company Secretary, certifying that the issue is being made in accordance with the requirements of the ICDR Regulations, is available for inspection by the Members of the Company at the Registered Office of the Company on all working days till the date of end of remote e-voting, between 10:00 a.m. and 6:00 p.m.

24. The justification for the allotment proposed to be made for consideration other than cash together with valuation report of the registered valuer
The Preferential Issue of 63,64,800 Equity Shares of the Company to the Proposed Allottee will be made for consideration other than cash at an issue price of Rs.42.4 per equity share in lieu of purchase of 40,80,000 Equity Shares (15%) of Speedy Multimodes Limited, held by Mr Ashish Chandna, making it a Wholly Owned Subsidiary of the Company. Reference to the objective of proposed issue of shares is made in Point No. 11 above.
The Value for the aforementioned swap of shares is approved by the Board basis the valuation report issued by M/s KPMG Valuation Services LLP.
25. Listing
The Company will make an application to the Stock Exchanges on which the existing shares are listed, for listing of the Equity Shares. Such Equity Shares, once allotted, shall rank pari-passu with the existing Equity Shares of the Company in all respects, including dividend and voting rights.

b) The Company is eligible to make the preferential issue under Chapter V of the ICDR Regulations;

c) As the equity shares have been listed for a period of more than 90 trading days as on the Relevant Date, the provisions of Regulation 164(3) of ICDR Regulations governing re-computation of the price of shares shall not be applicable;

d) The Company is in compliance with the conditions for continuous listing of Equity Shares as specified in the Listing Agreement entered with the Stock Exchanges and the SEBI Listing Regulations, as amended and circulars and notifications issued by the SEBI thereunder.

e) Provisions of Regulation 166A of the Chapter V of ICDR Regulations are not applicable to the Company as the proposed Preferential Issue does not envisage change in control or allotment of more than 5% of the post issue fully diluted share capital of Company to an allottee.

f) The Proposed Allottee does not hold any shares in the Company preceding the relevant date and hence the provision of Regulation 159(1) of ICDR Regulations governing Selling or transferring of any equity shares of the issuer during the 90 trading days preceding the relevant date is not applicable.

g) Since the Proposed Allottee does not hold any shares in the company, the requirement of provisions of Regulation 167(6) of ICDR Regulation governing lock- in of pre-preferential allotment shareholding of the allottees, if any, shall be locked-in from the relevant date up to a period of 90 trading days from the date of trading approval is not applicable
Issue of the equity shares would be well within the Authorised Share Capital of the Company. The Board of Directors believe that the proposed issue is in the best interest of the Company and its Members and therefore recommends the Special Resolution as set out in the notice for approval by the Members.
Except, by Mr Ashish Chandna, CEO of the Company, None of the Directors, Key Managerial Personnel and/or their relatives thereof are, in any way, concerned or interested, financially or otherwise, in the aforesaid resolution.
