Ad hoc announcement §15 WpHG Cooperation AC-Service and KWP in Strategic Partnership Ad hoc announcement transmitted by DGAP. The issuer is solely responsible for the content of this announcement. —————————————————————————— AC-Service and KWP in Strategic Partnership AC-Service acquires majority stake in consulting company Kümmel, Wiedmann + Partner Unternehmensberatung GmbH of Talheim Stuttgart, 8 March 2005 – AC-Service has expanded its equity stake in Kümmel, Wiedmann + Partner Unternehmensberatung GmbH of Talheim (also known as KWP) to 56% with the purchase of the 41% interest that HAKA Kunz GmbH of Waldenbuch had held in KWP, which took effect today. AC-Service had previously acquired a 15% share in the company from Rainer Wiedmann, the retired founding partner of KWP. The remaining 44% of the shares are still held by the KWP managing directors Hartmut Kümmel and Joachim Volpert. Serving over 300 clients, KWP is one of the leading providers of IT services focused on human resources management. At the centre of its portfolio is strategic, professional and technical consulting when implementing SAP ERP HCM Human Capital Management. With the expertise of its staff of over 50 full- time internationally operating employees, KWP covers the entire SAP HR field and is certified as an SAP HR Partner, mySAP Partner Service and SAP Small-to- Midsize Business Partner. Besides Germany, KWP is also represented with its own companies in Austria, France and the Czech Republic. According to preliminary and as yet unaudited figures, Kümmel, Wiedmann + Partner Unternehmensberatung GmbH generated revenues of some EUR 6 million in the financial year 2004, not including its companies outside Germany. The company will be included in AC-Service AG’s consolidation in the course of the first quarter of 2005. Its earnings will be allocated to the SAP Consulting business division. KWP and AC-Service have been successfully working together for about three years on the basis of the joint ASP performance center and the mySAP industry solution KWP.All-in-one.HR. At the end of 2003, KWP and AC- Service founded the joint company KWP Human Capital Consulting GmbH of Vienna in order to move into the Austrian market. This move will benefit KWP’s customers by giving them access to the entire range of products, systems and support that AC-Service can deliver as an IT service provider: IT Outsourcing (HR performance center, application hosting), licensing and maintenance of SAP products (Systemhaus), SAP consulting outside of SAP HR (AC Solutions) and the outsourcing of the entire personnel- administration process (business process outsourcing). For AC-Service this majority interest signals an important and major addition to its SAP Consulting business division.
