Additional Explanations

Şirketimiz Yönetim Kurulunun 27.02.2020 tarihinde aldığı karara göre;

Şirketin 2019 yılı faaliyetlerini içeren; Bağımsız denetimden geçmiş Sermaye Piyasaları Kurulu düzenlemelerine göre Türkiye Muhasebe Standartları/ Türkiye Finansal Raporlama Standartları'na uygun olarak düzenlenmiş Finansal Tabloları ve vergi yasaları kapsamından tutulan kayıtlara ait oluşturulan mali tablolar incelendi, müzakere edildi;

Türkiye Muhasebe Standartları (TMS) / Türkiye Finansal Raporlama Standartları (TFRS) 'na uygun olarak düzenlenmiş Finansal Tablolara göre 44.465.220,66 TL net dönem kârı olduğu, vergi yasaları kapsamından tutulan kayıtlara göre oluşturulan mali tablolarda 44.730.222,22 TL net dönem kârı olduğu görülmüştür. Bu bağlamda;

a. Türk Ticaret Kanunun (TTK) 519 maddesinin birinci fıkrası uyarınca, ödenmiş sermayenin beşte birini buluncaya kadar genel kanuni yedek akçe ayrılması zorunludur, buna göre 2.236.511,11 TL birinci tertip yasal yedek akçe olarak ayrılmasına,

b. Birinci kâr payı matrahı olan, TMS/TFRS' na göre hazırlanan net dağıtılabilir dönem kârına bağışlar eklenmiş net dağıtılabilir dönem kârı 42.310.027,88 TL üzerinden, Sermaye Piyasası Kurulunun Kâr payı tebliği (II-19.1)' ne uygun olarak kar payı dağıtım politikamız çerçevesinde 8.462.005,58 TL' nın birinci kâr payı olarak nakit dağıtılmasına,

c. Yönetim Kuruluna TMS/TFRS'ye göre hazırlanan net dağıtılabilir dönem kârından (brüt) 422.287,10 TL nakit kar payı verilmesine,

d. İkinci kâr payı olarak, net dağıtılabilir dönem kârından 27.010.110,44 TL nakit dağıtılmasına, TTK'nın 519. Maddesine göre 3.326.940,31 TL ikinci yedek akçenin ayrılmasına,

e. Kalan kısmın olağanüstü yedek akçe olarak ayrılmasına,

f. Toplamda hissedarlara nakit kâr payı olarak, brüt 35.472.116,02 TL, net 30.151.298,62 TL dağıtılmasına,

g. 1 TL nominal değerde hisse senedine % 67,5659 nispetinde ve 0,675659 TL brüt, % 57,4310 nispetinde ve 0,574310 TL net nakit temettü ödenmesine,

h. Yukarıda açıklanan çerçevede, kar dağıtımına 27 Nisan 2020 tarihi itibariyle başlanılmasına,

karar verilmiştir.
