Additional Explanations

Şirketimiz Yönetim Kurulunun 01.03.2018 tarihinde aldığı karara göre;

Şirketin 2017 yılı faaliyetlerini içeren; Bağımsız denetimden geçmiş Türkiye Muhasebe Standartları/ Türkiye Finansal Raporlama Standartları'na uygun olarak düzenlenmiş Finansal Tabloları ve vergi yasaları kapsamından tutulan kayıtlara ait oluşturulan mali tablolar incelendi, müzakere edildi;

1. Türkiye Muhasebe Standartları (TMS) / Türkiye Finansal Raporlama Standartları(TFRS) 'na uygun olarak düzenlenmiş Finansal Tablolara göre 27.282.392,77 TL net dönem kârı olduğu, vergi yasaları kapsamından tutulan kayıtlara göre oluşturulan mali tablolarda 27.902.132,05 TL net dönem kârı olduğu görülmüştür,

2. Türk Ticaret Kanunun (TTK) 519 maddesinin birinci fıkrası uyarınca, ödenmiş sermayenin beşte birini buluncaya kadar genel kanuni yedek akçe ayrılması zorunludur, buna göre 1.395.106,60 TL birinci tertip yasal yedek akçe olarak ayrılmasına,

3. Birinci kâr payı matrahı olan, TMS/TFRS' na göre hazırlanan net dağıtılabilir dönem kârına bağışlar eklenmiş net dağıtılabilir dönem kârı 25.929.036,51 TL üzerinden, Sermaye Piyasası Kurulunun Kâr payı tebliği (II-19.1)' ne uygun olarak 5.185.807,30 TL' nın birinci kâr payı olarak nakit dağıtılmasına,

4. TMS/TFRS' ye göre hazırlanan net dağıtılabilir dönem kârından Yönetim Kuruluna % 1 oranında, 258.872,86 TL nakit kâr payı verilmesine,

5. Geri kalan TMS/TFRS dağıtılabilir dönem kârının tamamını, TTK'nın 519. Maddesine göre ikinci yedek akçenin ayrılmasından sonra kalanın nakit dağıtılmasına,

6. Toplamda hissedarlara nakit kâr payı olarak, brüt 23.513.660,02 TL, net 19.986.611,02 TL dağıtılmasına,

7. 1 TL nominal değerde hisse senedine % 44,7879 nispetinde ve 0,447879 TL brüt, % 38,0697 nispetinde ve 0,380697 TL net nakit temettü ödenmesine,

8. Yukarıda açıklanan çerçevede, kar dağıtımına 25 Nisan 2018 tarihi itibariyle başlanılmasına,

karar verilmiştir.
