Additional Explanations

At the Meeting of the Board of Directors held on 01.03.2023;

The financial statements containing the activities of the Company for the year during 2022 independently audited and issued in accordance with the Capital Market Board's regulations and in line with the Turkish Accounting Standards/ the Turkish Financial Reporting Standards, and the financial statements containing the records kept as per the respective tax regulations have been examined and deliberated.

The Financial Statements prepared as per the Turkish Accounting Standards (TAS) / the Turkish Financial Reporting Standards (TFRS) have revealed that the net profit attributable to equity holders of the parent is TL 572.307.342 while the financial statements containing the records kept as per the respective tax regulations have revealed that the net profit for the period is TL 238.885.035,77

Accordingly it is resolved to set aside the first statutory reserve fund for the amount of TL 11.944.251,79, until it reaches one fifth of the paid capital as per the Turkish Commercial Code (TCC), article 519, paragraph one.

The amount of TL 112.079.698,04 to be distributed in cash as the first dividend over the net distributable profit for the period in line with the dividend policy, the basis of the first dividend, in the amount of TL 560.398.490,21 to which the donations have been added, as shown in the financial statements prepared as per the TMS/TFRS, in accordance with the Capital Market Board's Dividend Communique (II-19.1),

A dividend in the (gross) amount of TL 1.702.055,88 to be given to the Board of Directors from the net distributable period profit as prepared according to the TAS/TFRS.

A second dividend in the amount of TL 26.809.190,85 to be distributed from the net distributable period profit, and a second reserve fund in the amount of TL 13.309.094,48 to be set aside pursuant to the Turkish Commercial Code, Article 519.

The remaining portion to be set aside as extraordinary reserve fund.

A gross total amount of TL 138.888.888 (net amount: TL 125.000.000) in total to be distributed to the shareholders as dividends in cash,

Dividend of TL 0,925926 at 92,5926% in gross amount – TL 0,83333 at 83,3333% in net amount – to be paid in cash for each share with a nominal value of TL 1,

These matters to be submitted to the General Assembly Meeting for approval, and the profit distribution to be started as from April 12, 2023.
