ALKEMY S.P.A. INFORMATIVA SULL'ACQUISTO DI AZIONI PROPRIE TERMINATA LA PRIMA TRANCHE DI ACQUISTI

Milano, 9 giugno 2023 – Alkemy S.p.A. ("Alkemy" o "la Società"), società specializzata nell'evoluzione del modello di business di grandi e medie aziende e quotata su Euronext Milan – segmento STAR di Borsa Italiana (ALK), rende noto di aver acquistato nel periodo compreso tra il 2 giugno ed il 6 giugno 2023 n. 3.027 azioni proprie, per un controvalore complessivo di Euro 36.275,24, in esecuzione della delibera assembleare del 27 aprile 2023, già oggetto di informativa ai sensi dell'art. 144-bis del Regolamento Consob n. 11971/1999.

Di seguito il dettaglio delle operazioni di acquisto di azioni proprie su base giornaliera:

La Società rende noto altresì di aver terminato in data 6 giugno 2023 la prima tranche di acquisti del summenzionato Piano di Buyback entro il termine indicato con il comunicato stampa del 23 maggio 2023.

Gli acquisti sono stati effettuati per il tramite dell'intermediario specializzato Intesa Sanpaolo S.p.A. che ha agito in piena indipendenza, ad un prezzo ponderato pari a Euro 11,9597 e per un controvalore complessivo di Euro 119.597,46, entro il limite di Euro 125.000 di controvalore massimo di tutti gli acquisti stabilito per questa prima tranche di acquisti. Nell'ambito di questa prima tranche, l'ammontare complessivo degli acquisti effettuati è pari a n. 10.000 azioni (pari allo 0,18% circa del capitale sociale sottoscritto e versato).

Le modalità di acquisto sono state realizzate conformemente alle disposizioni di cui all'art. 5 del Regolamento UE n. 596/2014 e agli artt. 2, 3, e 4 del Regolamento Delegato UE 2016/1052.

Il dettaglio di tutte le operazioni di acquisto di azioni proprie effettuate per Alkemy sul mercato Euronext STAR Milan dal 24 maggio 2023 al 6 giugno 2023 – già

oggetto di comunicazione settimanale – sarà comunicato secondo le modalità e le tempistiche stabilite dalle vigenti disposizioni normative e regolamentari.

A seguito degli acquisti comunicati oggi, considerando inoltre le azioni proprie già in portafoglio (relative agli acquisti eseguiti nell'ambito dei precedenti Programmi di Buyback), Alkemy S.p.A. detiene al 9 giugno 2023 n. 149.315 azioni proprie, pari al 2,626% del capitale sociale.

ALKEMY S.P.A. REPORT ON THE PURCHASE OF TREASURY SHARES COMPLETION OF THE FIRST TRANCHE OF PURCHASES

Milan, June 9th, 2023 – Alkemy S.p.A. ("Alkemy" or "the Company"), a leading company specializing the business model evolution of large and medium-sized companies and listed on Euronext Milan – STAR Segment of Borsa Italiana (ALK), announces that, between June 2nd and June 6th 2023, it purchased n. 3,027 shares for a total consideration of Euro 36,275.24, as authorized by the Shareholders' Meeting held on April 27th, 2023, and then disclosed pursuant to Art. 144-bis of Consob Regulation n. 11971/1999.

The Company also announces that on June 6th, it has completed the first tranche of purchases of the aforementioned Buyback Plan within the deadline indicated in the press release of May 23rd, 2023.

The purchases were made through the specialized intermediary Intesa Sanpaolo S.p.A., which acted in full independence – at a weighted price of Euro 11.9597 and for a total compensation of Euro 119,597.46, within the limit of Euro 125,000 set as a maximum compensation for all the purchases established for this first tranche of the program as part of this first tranche, the total amount of purchases made is equal to 10,000 shares, equal to approximately 0.18% if the subscribed and paid-up share capital.

The purchase procedures were carried out in accordance with the provisions of art. 5 of the EU Regulation n. 596/2014 and art. 2, 3, and 4 of the EU Delegated Regulation 2016/1052.

The details of all the purchase transactions of Alkemy treasury shares carried out on the Euronext STAR Milan from May 24th, 2023, until June 6th, 2023, already subject to weekly communication, will be communicated in accordance with the methods and timing established by the current laws and regulations.

Following the purchases announced today, also considering the treasury shares already in the portfolio (relating to purchases made under the previous Buyback programs), Alkemy S.p.A. holds, as of June 9th, 2023, n. 149,315 treasury shares, equal to 2.626% of the share capital.
