NOMINATO L'ADVISOR FINANZIARIO IN VISTA DELLA PROMOZIONE, DA PARTE DI RETEX S.P.A. – SOCIETÀ BENEFIT, DI UN'OFFERTA PUBBLICA DI ACQUISTO VOLONTARIA TOTALITARIA SULLE AZIONI DI ALKEMY S.P.A.

Milano, 21 giugno 2024 – Con riferimento all'offerta pubblica di acquisto volontaria totalitaria che verrà promossa da Retex S.p.A. – Società Benefit (l'"Offerta") ai sensi degli artt. 102 e seguenti del D.lgs. 58/1998 (il "TUF") sulle azioni ordinarie di Alkemy S.p.A. (la "Società"), si rende noto che gli Amministratori Indipendenti della Società hanno selezionato Equita SIM S.p.A. quale advisor finanziario indipendente a supporto delle valutazioni e delle attività che gli stessi saranno chiamati a svolgere in relazione all'Offerta e alla congruità del corrispettivo ai sensi dell'art. 39-bis del regolamento adottato con delibera Consob n. 11971/1999 (il "Regolamento Emittenti").

Il Consiglio di Amministrazione, riunitosi in data 18 giugno 2024, ha deliberato di avvalersi – ai fini delle valutazioni e delle attività di propria competenza in relazione all'Offerta, ai sensi dell'art. 103, comma 3, del TUF e dell'art. 39 del Regolamento Emittenti – della fairness opinion che sarà rilasciata dall'advisor finanziario indipendente designato dagli Amministratori Indipendenti.

La Società è assistita da Chiomenti in qualità di consulente legale; gli Amministratori Indipendenti hanno nominato Cleary Gottlieb Steen & Hamilton LLP quale proprio advisor legale.

APPOINTMENT OF THE FINANCIAL ADVISOR IN RELATION TO THE VOLUNTARY TOTALITARIAN TENDER OFFER LAUNCHED BY RETEX S.P.A. – SOCIETA' BENEFIT ON THE ALKEMY S.P.A. SHARES

Milan, June 21st , 2024 – With reference to the voluntary totalitarian tender offer that will be launched by Retex S.p.A. – Società Benefit ("the Offer") pursuant to art. 102 and following of the Legislative Decree n. 58/1998 ("TUF") on the ordinary shares of Alkemy S.p.A. (the "Company"), it is disclosed that the Independent Directors of the Company have selected Equita SIM S.p.A. as the Company's independent financial advisor with reference to the evaluations and activities that they will be called upon to complete in relation to the Offer and to the adequacy of the consideration pursuant to art. 39-bis of the regulations adopted by Consob Resolution No. 11971/1999 (the "Issuers' Regulation").

The Board of Directors, convened on June 18th, 2024, deliberated that it will make use of the fairness opinion that will be released by the independent financial advisor designated by the Independent Directors for the purposes of its evaluations and activities related to the Offer, pursuant to art. 103 paragraph 3 of the TUF and Article 39 of the Issuers' Regulation.

The Company is assisted by Chiomenti as legal consultant; the Independent Directors have appointed Cleary Gottlieb Steen & Hamilton LLP as their legal advisor.
