ALKEMY S.P.A. REQUEST FOR SHAREHOLDERS' IDENTIFICATION RECEIVED PURSUANT TO ART. 83- DUODECIES LEGISLATIVE DECREE N. 58/1998
Milan, October 17th, 2024 – Alkemy S.p.A. ("Alkemy" or the "Company"), a leading company in the business model evolution of large and medium-sized companies and listed on the Euronext STAR Milan segment of Borsa Italiana (ALK), announces that, on October 16th, 2024 Retex S.p.A. – Società benefit ("Retex"), has submitted a request for the identification of the Shareholders pursuant to articles 83-duodecies, paragraph 3 of Legislative Decree n. 58/1998 ("TUF") and 18 of the Company Articles of Association. At the date of the request, Retex held 49.65% of the total share capital of Alkemy.
Please note that following the so-called settlement – which occurred today – of the voluntary public purchase offer for all ordinary shares issued by Alkemy pursuant to Articles 102 and 106, paragraph 4, TUF, promoted by Retex (the "Offer"), subsequent to the reopening of the terms of the Offer pursuant to Article 40-bis, paragraph 1, letter a), of Regulation no. 11971/99, Retex holds a total of 56.61% of the Alkemy share capital.
