Il Consiglio di Amministrazione approva la fusione per incorporazione di Biz-Up S.r.l.

Milano, 16 ottobre 2020 – Alkemy S.p.A. ("Alkemy" o la "Società"), società specializzata nell'evoluzione del modello di business di grandi e medie aziende e quotata sul Mercato Telematico Azionario (MTA) – segmento STAR di Borsa Italiana (ALK) - rende noto che in data odierna il Consiglio di Amministrazione di Alkemy ha approvato, per atto pubblico, la fusione per incorporazione in Alkemy S.p.A. di Biz-Up S.r.l. (la "Fusione"), già controllata al 100% dalla Società, in base al relativo progetto di Fusione già pubblicato e depositato presso la sede legale.

Il verbale della delibera adottata sarà messa a disposizione del pubblico presso la sede legale di Milano, Via San Gregorio 34, nonché sul sito della Società (www.alkemy.com) – sezione Investor Relations "Operazioni Societarie" e presso il meccanismo di stoccaggio autorizzato eMarket storage (), nei termini previsti dalla normativa vigente.

Sempre in data odierna anche l'assemblea dei soci di Biz-Up S.r.l. ha approvato la Fusione.

La stipula dell'atto di Fusione e la data di decorrenza dei relativi effetti giuridici saranno resi noti con successiva comunicazione al mercato.

Come già indicato nel comunicato stampa dell'11 settembre 2020, tenuto conto che, la Società già detiene il 100% del capitale sociale di BizUp S.r.l., la Fusione avverrà senza aumento di capitale e, quindi, senza concambio; inoltre, sono applicabili le semplificazioni di cui all'art. 2505 cod. civ. e si ipotizza la conclusione dell'operazione entro il 31 dicembre 2020.

Come da summenzionato comunicato dell'11 settembre 2020, la Fusione è esente dall'applicazione della procedura per la disciplina delle operazioni con parti correlate di Alkemy in quanto è effettuata con una società interamente controllata e non vi sono interessi significativi di altre parti correlate di Alkemy.

The Board of Directors approves the merger by incorporation of Biz-Up S.r.l.

Milano, October 16th 2020 – Alkemy S.p.A. ("Alkemy" or "the Company"), a leading company in the business model evolution of large and medium-sized companies and listed on the Mercato Telematico Azionario (MTA) – STAR Segment of Borsa Italiana (ticker: ALK), announces that today the Board of Directors of Alkemy approved, by public deed, the merger by incorporation into Alkemy S.p.A. of Biz-Up S.r.l. (the "Merger"), already 100% controlled by the Company, on the basis of the related Merger plan already published and deposited at the registered office.

The minutes of the resolution adopted will be made available to the public at the registered office in Milan, Via San Gregorio 34, as well as on the Company's website (www.alkemy.com) - Corporate Governance section "Corporate Operations" and at the authorized storage mechanism eMarket storage (), within the terms established by current legislation.

Today also the shareholders' meeting of Biz-Up S.r.l. approved the Merger.

The signing of the Merger deed and the effective date of the related legal effects will be announced with subsequent communication to the market.

As already indicated in the press release of September 11th 2020, taking into account that the Company already holds 100% of the share capital of BizUp S.r.l., the Merger will take place without capital increase and without share swap; futhermore, the simplifications referred in art. 2505 cod. civ. are applicable and the conclusion of the transaction is assumed by December 31st 2020.

Moreover, as per the aforementioned press release dated September 11th 2020, the Merger is exempt from the application of the procedure for the regulation of transactions with related parties of Alkemy as it is carried out with a wholly owned subsidiary and there are no significant interests of other Alkemy' related parties.
