DECLARATION OF ACCEPTANCE OF THE POSITION AS DIRECTOR OF ALKEMY S.p.A. and CERTIFICATION OF POSSESSION OF THE REQUIREMENTS FOR THE POSITION OF DIRECTOR

I, the undersigned Massimo Canturi, born in Varallo (VC) on 04 October 1958, tax code CNT MSM 58R04 L669D, domiciled for the purpose at the registered office of Alkemy S.p.A. ("Alkemy" or the "Company") in Milan, at via San Gregorio 34, in accordance with and pursuant to the provisions of Art. 19.7.4 of the Company's Articles of Association, in view of the Shareholders' Meeting of the Company convened for 14.30 on 26 April 2021 at the firm of the Notary Chiara Clerici, at sole call

that I accept my candidacy to the position of Company director, as indicated and described in the explanatory report of the Board of Directors at the sixth item on the agenda of said Shareholders' Meeting and hereby accept the appointment as Company Director if such should be resolved by said Shareholders' Meeting. In addition,

under my own exclusive liability, aware of that prescribed by and in accordance with and pursuant to Art. 76 of Italian Presidential Decree no. 445 of 28 December 2000, for the hypotheses of falsity in deeds and false declarations, hereby

• •yi - that there are no reasons why I should be ineligible for, forfeit, or incompatible with the office of director, in accordance with current laws, regulations and the articles of association;
• that I meet the requirements envisaged for appointment to said position and, in particular, the requirement of honour laid down by the combined provisions of Art. 147- quinquies of Italian Legislative Decree no. 58 of 24 February 1998 (the Consolidated Law on Finance") and Art. 2 of Ministerial Decree no. 162 of 30 March 2000;
• that I am not in any of the situations pursuant to Art. 2390 and Art. 2382 of the Italian Civil Code;
• that I can dedicate the necessary time to the diligent pursuit of the tasks pertaining to the office of director of the Company, also taking into account the commitment connected with my working and professional duties, the number of positions as director or auditor held in other companies listed on regulated markets (including abroad), in financial companies, banks, insurance firms or major companies;
• that I promise to inform the Company's Board of Directors promptly of any changes affecting this declaration;
• that I promise to produce, at the Company's request, documentation able to confirm that what I have declared herein, is truthful.

Massimo Canturi

Massimo Canturi - He graduated in clinical engineering from the Polytechnic University of Turin in 1983. His professional career began in Marconi PLC, a British multinational of telecommunications equipment, where he held various positions, including, most recently, Operations Director.

Massimo Canturi's career sees particular expertise in the telecommunications and ICT segment: he worked for Cisco Systems as Senior Director and Pirelli Optical Systems as Senior VP. In addition, Mr Canturi was Chief Executive Officer of Olivetti I-Jet and Deputy Executive Chairman of Olivetti Tecnost Office Products Division. He also worked for Italtel as Executive Deputy Chairman.

In June 2019, he took on the role of Chairman of the Comdata Group, a company in which he has worked since 2009 as General Manager and which he has also held the position of Chief Executive Officer.
