COMUNICAZIONE IN MERITO ALL'AMMONTARE COMPLESSIVO DEI DIRITTI DI VOTO
(REDATTA AI SENSI DELL'ART. 85-BIS, CO. 4-BIS DEL REGOLAMENTO EMITTENTI, ADOTTATO DALLA CONSOB CON DELIBERA N. 11971 DEL 14 MAGGIO 1999)
Milano, 6 dicembre 2024 – Si comunica che è intervenuta una variazione dei diritti di voto di Alkemy S.p.A. ("Alkemy" o "la Società"), per effetto della maturazione della maggiorazione del voto di cui all'art. 127-quinquies del TUF e dell'articolo 14 dello Statuto sociale con riferimento a n. 21.090 azioni.
Si segnala che tale maturazione è stata riconosciuta in applicazione della delibera del Consiglio di Amministrazione di Alkemy del 21 ottobre 2024, con l'astensione dell'Amministratore Delegato. Tale decisione è stata poi confermata nella riunione del Consiglio del 6 novembre 2024, in cui è stata respinta la proposta, avanzata dallo stesso Amministratore Delegato, di revoca della maggiorazione del voto riconosciuta anche per le n. 21.090 azioni oggetto della presente comunicazione.
La tabella che segue riporta i dati relativi alle Azioni in circolazione e al numero dei diritti di voto esercitabili alla data odierna.

ALKEMY S.P.A. DISCLOSURE ON THE TOTAL NUMBER OF VOTING RIGHTS
(PURSUANT TO ART. 85-BIS, PARAGRAPH 4-BIS OF THE CONSOB REGULATION N. 11971/1999)
Milan, December 6, 2024 – It is hereby given notice that there has been a change in the voting rights of Alkemy S.p.A. ("Alkemy" or "the Company"), following the maturation of the increase in votes pursuant to art. 127-quinquies of the Consolidated Financial Act ("TUF") and art. 14 of the Articles of Association with reference to n. 21,090 shares.
Please note that such increase in votes was recognized in application of the resolution of the Board of Directors of Alkemy dated October 21, 2024, with the abstention of the CEO. Such increase in votes was also confirmed in the meeting of the Board of Directors on November 6, 2024, in which the proposal of the Chief Executive Officer to revoke the increased voting rights recognized also for the n. 21,090 shares subject to this communication was rejected.
The following table shows the data relating to the Shares in circulation and the number of voting rights that can be exercised at today's date.
