COMUNICATO STAMPA

Milano, 7 ottobre 2024 - Si fa riferimento ai comunicati di Alkemy S.p.A. ("Alkemy" o la "Società") del 2 ottobre 2024, mediante i quali la Società ha reso noto (a) che, il 2 ottobre 2024, il socio StarTIP S.r.l. ("StarTIP") ha richiesto l'iscrizione nell'elenco della maggiorazione del voto per tutte le n. 404.000 azioni Alkemy di cui è titolare e (b) in pari data, l'intervenuta variazione del numero dei diritti di voto, conseguente all'immediato riconoscimento della maggiorazione del voto in favore di StarTIP così come previsto dall'art. 14 dello Statuto Sociale (in particolare, artt. 14.1.1 e 14.14) il quale prevede che:

ai fini del calcolo del periodo continuativo di almeno ventiquattro mesi "si computa altresì il periodo di possesso continuativo delle azioni intercorrente tra la data di inizio delle negoziazioni delle azioni ordinarie della Società su AIM Italia / Mercato Alternativo del Capitale, organizzato e gestito da Borsa Italiana S.p.A. (i.e., il 5 dicembre 2017) e la data di iscrizione nell'Elenco […] (il "Periodo di Vesting AIM Italia")"; e
"ove un azionista dovesse richiedere l'iscrizione nell'Elenco in ragione del computo del Periodo di Vesting AIM Italia (ossia del periodo di possesso anteriore alla data di iscrizione nell'Elenco secondo quanto sopra previsto), l'iscrizione all'Elenco da parte della Società dovrà avvenire nella stessa data della richiesta di iscrizione da parte dell'azionista e produrrà immediatamente effetto".

In questo contesto si rende noto che la Società ha ricevuto in data 4 ottobre 2024 e in data 6 ottobre 2024 delle lettere di contestazione da parte del socio Retex S.p.A. – Società Benefit che segnala che a suo avviso le norme statutarie sopra menzionate sono inapplicabili alla richiesta di StarTip e che ha chiesto di adottare "misure correttive".

PRESS RELEASE

Milan, October 7th, 2024 – With reference to the press releases disseminated by Alkemy S.p.A. ("Alkemy" or the "Company") on October 2nd, 2024, through which the Company has announced (a) that, on October 2nd, 2024, the shareholder StarTIP S.r.l. ("StarTIP") requested the registration within the increased voting rights list for all of its n. 404,000 Alkemy shares it possesses and (b) on the same date, the change in voting rights, following the immediate acknowledgement of the increase in voting rights for StarTIP pursuant to art. 14 of the Articles of Association (in particular art. 14.1.1 and 14.14) providing that:

For the purposes of computing the continuous ownership period of at least twenty-four months, "the period of continuous ownership of the shares between the date of commencement of trading of the Company's ordinary shares on AIM Italia / Alternative Capital Market, organised and managed by Borsa Italiana S.p.A. (i.e., December 5th, 2017) and the date of registration in the List is also taken into account […] (the "Vesting Period AIM Italia"); and
"Should a shareholder request the registration in the List on the basis of the calculation of the "Vesting Period AIM Italia" (i.e. the period of ownership prior to the date of registration in the List as provided above), the registration in the List by the Company must take place in the same date as the request for registration by the shareholder and will take effect immediately".

Within this context, it is announced that the Company received on October 4th, 2024 and on October 6th, 2024 statements of objections from the shareholder Retex S.p.A. – Società Benefit, which states that in its opinion the above-mentioned statutory provisions are inapplicable to StarTIP's request and it requested that "corrective measures" be adopted.
