Change in the percentage of the total number of votes in Alior Bank S.A.- holdings increased above 5% of the total number of votes

The Management Board of Alior Bank S.A. (_quot;Bank_quot;, "Company") herebyinforms of receipt of a notice submitted to the Bank by PowszechneTowarzystwo Emerytalne Allianz Polska S.A. (_quot;PTE Allianz Polska S.A._quot;),which notified that as a result of a merger with Aviva PowszechneTowarzystwo Emerytalne Aviva Santander Spółka Akcyjna, which managedDrugi Allianz Polska Otwarty Fundusz Emerytalny ("Drugi Allianz OFE"),concluded on December 30, 2022 on the basis of art. 67 of the Act ofAugust 28, 1997 on the Organization and Operation of Pension Funds andart. 492 § 1 point 1 of the Code of Commercial Companies, the share inthe Bank share capital and total number of votes held jointly by thefunds managed by PTE Allianz Polska S.A., i.e. Allianz Polska OtwartyFundusz Emerytalny, Allianz Polska Dobrowolny Fundusz Emerytalny andDrugi Allianz Polska Otwarty Fundusz Emerytalny increased above 8%.

Before the merger:

A total of 1 919 260 shares, representing 1.47% of the Company's sharecapital, were recorded in the accounts of Allianz OFE and Allianz DFE,which gave the right to exercise 1 919 260 votes from sharesrepresenting 1.47% of the total number of votes at the Company's AGM.

In the account of the Drugi Allianz OFE, 9 607 180 shares wereregistered, representing a 7.36% stake in the Company's share capital,which gave the right to exercise 9 607 180 votes from sharesrepresenting a 7.36% stake in the total number of votes at the Company'sAGM.

After the merger:

The total balance in the accounts of Allianz OFE, Allianz DFE and DrugiAllianz OFE increased to 11 526 440 shares, representing 8.83% of thecompany's share capital, which gives the right to exercise 11 526 440votes from shares representing 8.83% of the total number of votes at theCompany's AGM.

At the same time, Powszechne Towarzystwo Emerytalne Allianz Polska S.A.,which manages jointly Allianz OFE, Allianz DFE and Drugi Allianz OFEinforms that:

? it has no subsidiaries holding shares in the Company,

? a situation described in Article 69 section 4 item 6 of theaforementioned Act does not apply,

? also does not possess the financial instruments referred to in Article69b Section 1 item 1) and 2) of the aforementioned Act.
