Decision on the issue of bonds by Alior Bank S.A. and determination ofthe final terms of the bond issue

In reference to the Current Report No. 9/2023 of May 8, 2023 theManagement Board of Alior Bank S.A. (_quot;Bank_quot;, _quot;Issuer_quot;) informs that onMay 31, 2023 it adopted a resolution on the issue of series M bonds bythe Bank, the liabilities of which will constitute eligible liabilitiesof the Bank within the meaning of Article 97a Section 1 Point 2 of theAct of June 10, 2016 on the Bank Fund Guarantee, deposit guaranteescheme and resolution (_quot;Bonds_quot;) and specified the final terms of theissue of the Bonds.

The basic terms of the Bond's issue are as follows:

1. The maximum total nominal value of the Bonds is up to PLN400,000,000.00 (in words: four hundred million zlotys),

2. The nominal value and issue price of one Bond is PLN 400,000.00 (inwords: four hundred thousand zlotys),

3. The Bonds will be offered to institutional investors,

4. The Bonds will bear interest at a variable interest rate constitutingthe sum of the WIBOR6M rate and a margin of 3.10%,

5. The date of issue of the Bonds will be June 26, 2023,

6. The redemption date of the Bonds will be June 26, 2026, and the Bankwill have the option of early redemption of the Bonds after meeting theregulatory requirements applicable to the Bonds and the Bank,

7. The Bank will apply for the introduction of the Bonds to listing onthe Catalyst regulated market operated by the Warsaw Stock Exchange.

The Bonds will be offered under the Bond Offering Program of up to PLN2,000,000,000 under the Bank's Multiannual Bond Issue Program covered bythe Base Prospectus approved by the Polish Financial SupervisionAuthority on August 24, 2022, which is available on the Issuer's website(www.aliorbank.pl).

The Bonds will be offered in a public offering.

Subscriptions for the Bonds will be accepted in the period from June 1,2023 to June 2, 2023.

The final terms of the Bond offering will be published on May 31, 2023on the Issuer's website (www.aliorbank.pl).
