Report Content Submission of candidates to the Supervisory Board of Alior Bank S.A.

In reference to the current report no. 2/2025, from January 30, 2025,the Management Board of Alior Bank S.A. ("Bank") hereby informs that onFebruary 24, 2025, the Bank received from Powszechny Zakład UbezpieczeńSpółka Akcyjna its registered office in Warsaw (the "Shareholder"),which is a shareholder of the Bank, in connection with the ExtraordinaryGeneral Meeting convened on February 26, 2025, a submission of thefollowing candidates for Members of the Supervisory Board of the Bank:

1. Mr. Waldemar Maj,

2. Mr. Tomasz Kulik.

The above-mentioned candidates have agreed to be candidates for theSupervisory Board of the Bank.

Moreover, the Shareholder informed that it had initially assessed theindividual suitability of the candidates for the Bank's SupervisoryBoard.

The suitability assessment was carried out on the basis of documentsconcerning the candidates and declarations submitted by the candidatesprovided to the Shareholder, as well as on the basis of, among others,an analysis of the requirements arising from generally applicable laws,in particular the requirements referred to in Article 22aa of theBanking Law Act of August 29, 1997 (the "Act"), and the suitabilityrequirements referred to in the Bank's Policy for selecting andassessing the suitability of members of the Supervisory Board of AliorBank S.A. (the "Policy") .

The analysis showed that the functions currently performed by Mr.Waldemar Maj in corporate bodies exceed the number allowed by the Act.The candidate submitted a statement that if he is appointed to theSupervisory Board, he will resign from the functions specified in thesaid declaration.

As a result of the assessment and accounting for the declarationsubmitted by Mr. Waldemar Maj, the Shareholder concluded that bothcandidates meet the requirements referred to in Article 22aa of the Actand the suitability requirements referred to in the Policy.

The modified draft resolutions submitted by the Shareholder and thecandidate's CV are attached to this current report.

Legal basis: § 19 para 1 of the Regulation of the Minister of Finance ofMarch 29, 2018, on current and periodic information published by issuersof securities and conditions for recognizing as equivalent informationrequired by the laws of a non-member state.
