CORPORATE UPDATE

Following a review of operations, Alice Queen Limited (“Alice Queen” or “the Company”) has today implemented a reduction in number of directors on the Board from six directors to three. Resignations have been received today from Bruce Fulton, John Holliday and Jeff Williams.

Accordingly, the Alice Queen Limited Board will, from today onwards, comprise:

• Phillip Harman (Non-Executive Chairman)

• Andrew Buxton (Managing Director)

• Mark Kerr (Non-Executive Director)

The Company feels that the new smaller Board is more appropriate given the scope of its current activities and the scale of its current operations.

Alice Queen takes this opportunity to thank the outgoing directors for their significant contributions to the Company and, in the case of Mr Fulton and Mr Holliday, to the formation and development of Alice Queen Holding Pty Ltd and the acquisition which resulted in the ASX-listing of its minerals exploration business.

In accordance with Listing Rule 3.19A, attached are Final Directors’ Interest Notices (Appendix 3Z).

The Company has recently despatched a Notice of Meeting for a forthcoming General Meeting of shareholders to be held on Friday, 9 September 2016. In that meeting, Alice Queen will, amongst other things, be seeking shareholder approval to amend its Constitution. The Constitutional amendment, the subject of the approval being sought, will facilitate the Company’s ability to either buy back redeem and cancel, or buy back and sell, the holdings of holders with less than marketable parcels of shares that currently exist on its register (“the Sale Facility”).

The Sale Facility, proposed as a result of the Company’s review of operations, is intended to provide shareholders with less than marketable parcels with an ability to dispose of holdings without brokerage costs which could otherwise make the sale uneconomic. Furthermore, the elimination of less than marketable holdings will enable the Company to lessen administrative costs associated with maintaining a large number of small shareholders, thereby making the Company more efficient and cost effective to manage. The Company will only proceed with the Sale Facility if shareholder approval for the amendment of its Constitution is obtained. If the Sale Facility does proceed, holders of less than marketable parcels will have the ability to ‘opt-out’, and thereby retain their holding.
