• Esaminato l'andamento gestionale dei primi dieci mesi dell'esercizio: fatturato in crescita del 14,6%
Il Consiglio di amministrazione di algoWatt, GreenTech Solutions Company quotata sul mercato telematico azionario (MTA) di Borsa Italiana, riunitosi in data odierna, facendo seguito al comunicato stampa emesso in data 4 agosto 2020 al quale si rimanda, ha ritenuto opportuno rinviare qualsiasi decisione in merito all'approvazione del progetto di bilancio di esercizio e del bilancio consolidato al 31 dicembre 2019, nonché della relazione finanziaria semestrale al 30 giugno 2020, ad una successiva data. Ciò al fine di poter tener compiutamente conto, nell'approvazione di tali dati finanziari, degli impatti derivanti dalle necessarie interlocuzioni con il ceto creditorio, finalizzate a rimodulare e aggiornare il Piano di risanamento e rilancio attestato e il relativo Accordo Finanziario. Il predetto aggiornamento è necessario per consentire un riallineamento della manovra rispetto alla revisione del modello di business e, come comunicato in data 21 aprile 2020, per acquisire un quadro informativo completo alla luce degli impatti del COVID-19.
La data puntuale della riunione consiliare per l'approvazione del bilancio 2019, della relazione semestrale 2020 e per la convocazione dell'Assemblea dei soci sarà decisa dal CDA entro l'ultima decade di dicembre 2020 e comunicata al mercato con successivo comunicato stampa, nei modi stabiliti dalle disposizioni applicabili.
Il Consiglio di Amministrazione ha, inoltre, esaminato i dati gestionali relativi al fatturato di AlgoWatt SpA al 30 ottobre 2020, che evidenzia un sensibile miglioramento rispetto al dato dell'esercizio precedente. Nello specifico il fatturato al 30 ottobre 2020 di AlgoWatt SpA, con l'esclusione delle attività in dismissione, è pari a Euro 11,5 milioni e risulta in crescita del 14,6%, rispetto al corrispondente dato dell'esercizio precedente. Il suddetto dato non rappresenta l'ammontare dei ricavi della società alla medesima data, non tenendo conto, infatti, conto dei lavori eseguiti e non ancora fatturati, nonché del contributo dei progetti di ricerca, che si attesta a circa 1,6 milioni nei primi dieci mesi del 2020. Si tratta di un dato significativo, soprattutto come indicatore di un miglioramento della generazione di cassa per la Società in un contesto economico non favorevole.
Il Consiglio di amministrazione di algoWatt ha, infine, approvato l'aggiornamento del Codice Etico della società, che sarà pubblicato sul sito internet www.algowatt.com nella sezione Investor relations/Corporate governance/Documenti societari e sul sistema di stoccaggio delle informazioni regolamentate all'URL .

The Board of Directors of algoWatt, GreenTech Solutions Company listed on the Italian Stock Exchange (MTA), met today, following the press release issued on August 4, 2020 to which reference should be made, deemed it appropriate to postpone any decision regarding the approval of the draft financial statements and consolidated financial statements at December 31, 2019, as well as the half-yearly financial report at June 30, 2020, to a later date. This in order to be able to take full account, when approving these financial data, of the impacts arising from the necessary discussions with the creditors, aimed at remodelling and updating the certified Recovery and Relaunch Plan and the related Financial Agreement. The aforementioned update is necessary to allow a realignment of the manoeuvre with respect to the revision of the business model and, as communicated on 21 April 2020, to acquire a complete information picture in light of the impacts of the COVID-19.
The precise date of the Board meeting for the approval of the 2019 financial statements, the 2020 half-yearly report and the call of the Shareholders' Meeting shall be decided by the Board of Directors within the last ten days of December 2020 and communicated to the market with a subsequent press release, in accordance with the applicable provisions.
The Board of Directors also examined the management figures relating to the sales of AlgoWatt SpA as at 30 October 2020, which showed a significant improvement compared to the previous year's figures. Specifically, the sales of AlgoWatt SpA as at 30 October 2020, excluding discontinued operations, amounted to 11.5 million Euro, an increase of 14.6% compared to the corresponding figure for the previous year. This figure does not represent the amount of the company's revenues at the same date, in fact, not taking into account the work carried out and not yet invoiced, as well as the contribution of research projects, which amounted to approximately 1.6 million in the first ten months of 2020. This is a significant figure, especially as an indicator of an improvement in cash generation for the Company in an unfavourable economic context.
Finally, the Board of Directors of algoWatt approved the update of the Company's Code of Ethics, which will be published on the website www.algowatt.com in the Investor relations/Corporate governance/Corporate documents section and on the regulated information storage system at the URL .
