algoWatt S.p.A., GreenTech Solutions Company quotata sul mercato Euronext Milan di Borsa Italiana, facendo seguito a quanto comunicato il 23 agosto 2023, informa che in data odierna il Consiglio d'Amministrazione ha deliberato all'unanimità e con l'approvazione del Collegio Sindacale, di nominare mediante cooptazione, ai sensi dell'art. 2386 cod. civ. e dell'art. 13 dello Statuto sociale, il dott. Fabrizio Venturi e il prof. Massimo Solbiati (indipendente) quali nuovi consiglieri della Società.
Il consigliere Venturi era risultato tra i non eletti nella lista presentata dal socio Italeaf S.p.A. in vista dell'Assemblea dei Soci del 10 maggio 2022* chiamata al rinnovo degli organi sociali ed è stato qualificato come "non indipendente e non esecutivo" ai sensi delle applicabili disposizioni normative.
Il CDA ha allo stesso tempo ha condotto la valutazione in merito alla sussistenza dei requisiti di indipendenza in capo al consigliere prof. Massimo Solbiati, che sostituisce il prof. Michele Costabile che aveva rassegnato le proprie dimissioni in data 23 agosto 2023 per ragioni connesse al proprio percorso professionale. Tale valutazione si è conclusa con la conferma della sussistenza dei requisiti di indipendenza del suddetto amministratore, sia ai sensi dell'art. 148, comma 3, del D. Lgs. 58/1998, sia ai sensi dell'art. 3 del Codice di Autodisciplina di Borsa Italiana S.p.A., non essendo stati utilizzati altri parametri di valutazione, né criteri quantitativi e/o qualitativi ulteriori rispetto a quelli sopra indicati.
I nuovi amministratori così nominati rimarranno in carica fino alla prossima Assemblea degli Azionisti e, sulla base delle informazioni a disposizione della Società, non detengono alcuna partecipazione azionaria in algoWatt S.p.A..
Massimo Solbiati, 61 anni, dottore commercialista, ha maturato esperienze professionali in oltre 25 anni di attività al servizio di imprese in molteplici settori e dimensioni. Si è laureato all'Università Bocconi di Milano, dove è stato anche docente. Dal 1982 al 1993 ha lavorato in azienda industriale, anche in posizioni dirigenziali. Dal 1993 opera come consulente di direzione in aziende di molteplici settori e dimensioni. Dal 1993 è docente presso LIUC Università Cattaneo nella Scuola di Economia e Management. È autore di numerose pubblicazioni su temi di finanza ed economia d'impresa.
Fabrizio Venturi, 58 anni, manager con un consistente track record nei settori dell'EPC e dell'O&M fotovoltaico in Italia e all'estero, è Amministratore Unico della controllata TerniEnergia Progetti Srl, nonché Amministratore unico di General Consulting Srl. Torna in algoWatt dopo l'esperienza come consigliere delegato della ex TerniEnergia dal 2007 al 2017, anni durante i quali aveva conseguito risultati molto rilevanti nella industry della power generation e della system integration di impianti rinnovabili giant e utility scale worldwide.

• Dr Fabrizio Venturi and Prof. Massimo Solbiati (independent) join the Board of Directors
algoWatt S.p.A., a GreenTech Solutions Company listed on the Euronext Milan market of the Italian Stock Exchange, following its announcement on 23 August 2023, informs that today the Board of Directors unanimously resolved, with the approval of the Board of Statutory Auditors, to appoint by co-optation, pursuant to Article 2386 of the Italian Civil Code and Article 13 of the Articles of Association, Mr. Fabrizio Venturi and Prof. Massimo Maria Solbiati (independent) as new directors of the Company.
Director Venturi was among the non-elected in the list submitted by the shareholder Italeaf S.p.A. in view of the Shareholders' Meeting of 10 May 2022* called to renew the corporate bodies and was qualified as "nonindependent and non-executive" pursuant to applicable regulatory provisions.
At the same time, the Board of Directors conducted an assessment on the existence of the independence requirements for the director Prof. Massimo Maria Solbiati, who replaces Prof. Michele Costabile, who had resigned on 23 August 2023 for reasons related to his professional career. This assessment concluded with the confirmation of the existence of the independence requirements of the aforesaid director, both pursuant to Article 148, paragraph 3, of Legislative Decree No. 58/1998, and pursuant to Article 3 of the Corporate Governance Code of Borsa Italiana S.p.A., since no other assessment parameters or quantitative and/or qualitative criteria other than those indicated above were used.
The newly appointed directors will remain in office until the next Shareholders' Meeting and, based on the information available to the Company, do not hold any shares in algoWatt S.p.A..
Massimo Solbiati, 61, a chartered accountant, he has gained professional experience over more than 25 years in the service of companies in many sectors and sizes. He graduated from Bocconi University in Milan, where he was also a lecturer. From 1982 to 1993 he worked in industrial companies, also in executive positions. Since 1993, he has worked as a management consultant in companies of multiple sectors and sizes. Since 1993 he has been a lecturer at LIUC Cattaneo University in the School of Economics and Management. He is the author of numerous publications on finance and business economics.
Fabrizio Venturi, 58, a manager with a consistent track record in the EPC and photovoltaic O&M sectors in Italy and abroad, is Sole Director of subsidiary TerniEnergia Progetti Srl, as well as Sole Director of General Consulting Srl. He returns to algoWatt after his experience as managing director of the former TerniEnergia from 2007 to 2017, years during which he had achieved very significant results in the power generation and system integration industry of giant and utility scale renewable plants worldwide.
