L'Assemblea degli Obbligazionisti del bond Algowatt Tv Eur6m+1,5 Dc27 Amort - Codice ISIN: IT0004991573 approva l'iter per la definizione del nuovo Piano 2021 e della nuova Manovra Finanziaria

algoWatt S.p.A., GreenTech Solutions Company quotata sul mercato telematico azionario (MTA) di Borsa Italiana, comunica che l'Assemblea degli Obbligazionisti del prestito obbligazionario Algowatt Tv Eur6m+1,5 Dc27 Amort - Codice ISIN: IT0004991573 (l'"Assemblea degli Obbligazionisti") riunitasi con la presidenza di Stefano Neri e agli atti del Notaio Adele Cesaro di Milano, in seconda convocazione, in data odierna alle ore 12.00, ha visto la presenza di obbligazionisti rappresentanti il 50,8% del bond.

L'Assemblea degli Obbligazionisti, con le maggioranze previste dalla legge, ha approvato le deliberazioni relative ai punti 2 e 3 posti all'ordine del giorno. Si tratta dei più importanti elementi prodromici al buon esito dell'operazione di risanamento di algoWatt e al conseguente sostanziale esdebitamento e valorizzazione a termine della Società. In particolare, l'Assemblea ha deliberato:

Il conferimento dei poteri in favore del rappresentante degli obbligazionisti, Avv. Marzio Molinari, per il perfezionamento con algoWatt S.p.A. di un accordo di risanamento ex art. 67, comma 3, lett. d) Legge Fallimentare coerente con le previsioni del Piano 2021;
Il conferimento dei poteri in favore del rappresentante degli obbligazionisti, Avv. Marzio Molinari, per la sottoscrizione degli strumenti finanziari partecipativi (in seguito "SFP") previsti dal Piano 2021.

Attraverso tali deliberazioni, algoWatt sarà nelle condizioni di completare le negoziazioni relative alla definizione della nuova Manovra Finanziaria e del Piano Industriale, potendo definire entro il mese di giugno 2021 con il rappresentante degli Obbligazionisti e con il ceto creditorio i contenuti definitivi del nuovo Piano 2021. Si ricorda che per la redazione della relazione di asseverazione ex art. 67 L.F. del predetto Piano (la "Relazione di Attestazione 2021"), algoWatt ha conferito incarico al Dott. Franco Carlo Papa ("Attestatore"). L'attività relativa alla redazione della Relazione di Attestazione 2021 è in corso di svolgimento. La Società provvederà, quindi, a convocare il proprio Consiglio di Amministrazione, in tempo utile prima del 30 giugno 2021, per l'approvazione dei progetti di bilancio

Non è stato raggiunto, invece, il quorum deliberativo del 50% più 1 degli aventi diritto al voto per le materie poste ai punti 1 e 4 dell'Ordine del giorno dell'Assemblea. In particolare, l'informativa preventiva agli Obbligazionisti relativa ai contenuti di massima del nuovo Piano 2021 ha ottenuto 125 voti favorevoli, 1 voto contrario e 1 astensione, mentre il punto relativo all'estinzione e cancellazione anticipata delle Obbligazioni, ha ottenuto 123 voti a favore, 1 voto contrario e 3 astensioni. Tale esito sui punti 1 e 4 delle materie all'ordine del giorno, tuttavia, non incide sul proseguimento della manovra di ristrutturazione e, dunque, sull'emissione degli SFP che conseguirà alla stipulazione dell'accordo di risanamento nei termini previsti dal Piano 2021.

Il verbale dell'Assemblea degli Obbligazionisti e il rendiconto sintetico delle votazioni saranno messi a disposizione del pubblico entro il termine stabilito dalle vigenti disposizioni normative. algoWatt S.p.A. , GreenTech Solutions Company listed on the Italian Stock Exchange (MTA), announces that the Bondholders' Meeting of the Algowatt Tv Eur6m+1,5 Dc27 Amort - ISIN Code: IT0004991573 (the "Bondholders' Meeting") met in second call, today at 12.00 a.m., under the chairmanship of Stefano Neri and in the presence of Notary Public Adele Cesaro of Milan, was attended by bondholders representing 50,8% of the bond.

The Bondholders' Meeting, with the majorities required by law, approved the resolutions relating to items 2 and 3 on the agenda. These are the most important preparatory elements for the successful outcome of the algoWatt rstructuring process and the consequent substantial debt reduction and forward valorisation of the Company. In particular, the Bondholders' Meeting resolved:

Granting of powers to the representative of the bondholders, Mr. Marzio Molinari, for the conclusion with algoWatt S.p.A. of a restructuring agreement pursuant to Article 67, paragraph 3, letter d) of the Bankruptcy Law in line with the provisions of the 2021 Plan;
The granting of powers in favour of the representative of the bondholders, Mr. Marzio Molinari, for the subscription of the participating financial instruments (hereinafter referred to as "SFP") under the 2021 Plan.

Through these resolutions, algoWatt will be in a position to complete the negotiations relating to the definition of the new Financial Package and the Business Plan, being able to define the final contents of the new 2021 Plan with the Bondholders' representative and the creditors by June 2021. AlgoWatt appointed Mr. Franco Carlo Papa ("Attestation Report 2021") to prepare the asseveration report pursuant to Article 67 of the Bankruptcy Law on the aforementioned Plan (the "Attestation Report 2021"). The activities relating to the preparation of the 2021 Attestation Report are currently being carried out. The Company will then convene its Board of Directors to approve the financial statements obtained the 2021 Plan Attestation Report.

However, the quorum of 50% plus 1 of those entitled to vote was not reached for items 1 and 4 on the Bondholders' Meeting Agenda. In particular, the prior information to Bondholders on the general contents of the new 2021 Plan received 125 votes in favour, 1 vote against and 1 abstention, while the item on the early extinction and cancellation of the Bonds received 123 votes in favour, 1 vote against and 3 abstention. This outcome on items 1 and 4 of the items on the agenda, however, does not affect the continuation of the financial package and, therefore, the issuance of the SFPs that will follow the conclusion of the restructuring agreement under the terms of the 2021 Plan.
