Share Purchase Plan-Cleansing Notice

Pursuant to ASIC Class Order [CO 09/425], Living Cell Technologies Limited ("the Company") gives notice that:

• a) The Company will issue shares under a Share Purchase Plan (SPP) without disclosure under Part 6D.2 of the Corporations Act 2001 (Cth) ( the "Corporations Act") as announced in its release dated 8 October 2014.

• b) This notice is given in accordance with CO 09/425.

• c) As at the date of the notice, the Company has complied with

  • i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company.

  • ii) Section 674 of the Corporations Act.

• d) As at the date of the notice, there is no "excluded information" (as defined in subsection 708A(7) of the Corporations Act) which is required to be disclosed by the Company.
