EXPLANATORY NOTE

On May 15, 2020, Algonquin Power & Utilities Corp. (the “Company”) entered into an Equity Distribution Agreement (the “Agreement”) with certain agents named therein (the “Agents”). Pursuant to the terms of the Agreement, the Company may sell from time to time through the Agents, shares of the Company’s common shares having an aggregate offering price of up to $500,000,000 (the “Shares”). Sales of the Shares, if any, will be made by means of ordinary brokers’ transactions through the facilities of the Toronto Stock Exchange or The New York Stock Exchange or otherwise as may be agreed by the Company and the Agents.

The Shares will initially be issued pursuant to the Company’s automatic shelf registration statement on Form F-10 that is currently on file (Registration No. 333-236975).

The summary of the Agreement in this report does not purport to be complete and is qualified by reference to the full text of the Agreement, a copy of which is filed as Exhibit 99.1 to this Report on Form 6-K.
