Aleen Inc. Announces Issuance of Shares to Chief Operating Officer and Director

ONTARIO, CANADA – July 16, 2025 – Aleen Inc. (the “Company”) (CSE: ALEN) announces that, pursuant to board approval granted on July 14, 2025, it will issue a total of 200,000 common shares of the Company (the “Shares”) to its Chief Operating Officer and Director, Neil Foran, as part of the officer’s management arrangement.

The Shares will be issued on July 16, 2025, and will be placed in escrow in accordance with the terms of the Company’s initial Escrow Agreement dated April 14, 2025, and the Amendment to the Escrow Agreement dated July 14, 2025. The issuance is being made as compensation for services rendered and is not subject to any cash consideration. The Shares will be reflected in the Company’s share register upon completion of the process.

The issuance constitutes a related party transaction, as the recipient is an executive officer of the Company. The transaction was reviewed and approved by the Board of Directors. It has been carried out in accordance with the Company’s internal governance policies and applicable securities laws.

This issuance represents a key milestone in Aleen’s growth and strategic development. Under the leadership of Mr. Foran, who also guided the company through its listing on the Canadian Securities Exchange, the Company has advanced from concept to a robust AI-powered digital wellness platform.
